These are multi-strategy businesses that acquire, originate finance, trade/make markets in, advise on and engage in various financing and securities transactions involving commercial and residential mortgage loans, corporate loans (CLOs), secured and unsecured consumer and Fintech loans, transportation loans and leases and other esoteric assets. The businesses may act as an advisor, financier and/or principal counterparty to clients.Principal Responsibilities:
Advise the business teams on all aspects of structured finance transactionsIdentify and address legal, policy, regulatory, commercial and reputational issues/risksAdvise trading desks on secondary sales/trading of RMBS, CMBS, ABS, CLO and other fixed income securitiesAnalyze and lead implementation of financial regulatory reform (Conflict of Interest, Dodd Frank, Reg AB II and other relevant regulations)Manage all aspects of external counsel relationships and engagementAssist in the creation and implementation of firm policies, procedures and guidelinesProvide subject matter expertise on regulatory and litigation matters relating to structured finance and mortgage mattersCoordinate with internal stakeholders including legal, conflicts, compliance, controller and audit teams to ensure consistency of coverage and adherence to firm policies, procedures and best practicesQualifications/Skills:
6+ years of post-JD, transaction-based legal experience at a reputable law firm, investment bank or other financial institutionStrong substantive knowledge and significant experience in structured finance and capital markets including financing, asset acquisition and securitization transactionsExperience representing underwriters, issuers, sponsors and/or managers in a wide range of CMBS, RMBS, CLO, consumer loans and other asset-backed financings, consisting of registered public offerings, exempt transactions and international and domestic offeringsFamiliarity with broker-dealer regulation, Dodd Frank, Reg AB, CFPB, state and federal regulators, lending, bankruptcy, and with various fixed income and derivative productsPossess excellent time management/organizational skills with the ability to handle multiple transactions with competing deadlinesMotivation to expand skill set and excel in a fast paced and rapidly changing business environment with minimum supervisionExcellent communication/presentation skillsStrong self-confidence, good judgement, sound decision making and problem solving skillsAdept at developing interpersonal relationshipsSalary RangeThe expected base salary for this New York, New York, United States-based position is $170000-$270000.
