Below is the pay range for this position that we reasonably expect to pay. Individual compensation is based on various factors including experience, education, skillset, and other relevant qualifications. This range is for the California location and may be adjusted to the labor market in other geographic areas.
Anticipated compensation range: $190,000-$250,000
The Opportunity:
Ohalo is looking for a talented IP Transactions Lawyer to lead our Legal Team's Commercial Counseling function. Reporting to Ohalo's Chief Administrative Officer / Chief Legal Officer, this role will be responsible for driving legal support for all of our commercial transactions, including complex licensing, strategic collaborations, and joint ventures. The successful candidate will have a proven track record negotiating and closing biotech IP transactions, ideally including experience in the agriculture industry.
Key Responsibilities:Lead the Ohalo Legal Team's Commercial Counseling function, covering all commercial transactions, including our worldwide deals with partners across the agriculture value chain, Ohalo's strategic collaborations and JVs, and the vendor transactions needed to grow and mature our R&D, production and commercial operations.Provide strategic legal leadership for all of Ohalo's IP-related transactions, including managing, drafting and negotiating commercial deals and supporting the IP-related aspects of corporate transactions.Assist in developing and implementing IP strategies to protect and leverage the company's intellectual property assets, and in evaluating IP assets and portfolios in connection with potential transactions.Collaborate with cross-functional teams, including Business Development, R&D, and Regulatory, to ensure alignment and successful deal execution.Stay current with relevant laws, regulations, and industry trends to provide proactive and informed legal counsel.Manage external legal counsel as necessary to support complex transactions.Qualifications:
Juris Doctor (JD) degree from an accredited law school.Active membership in good standing with at least one state bar.At least 5 years of experience in IP Transactions, including licensing, strategic collaborations and joint venture agreements.Strong preference for biotech experience, ideally including deals in the agricultural sector.Required Skills:
Excellent drafting, negotiation, and communication skills.Strong business-orientation, and proven ability to evaluate and effectively communicate about opportunities and risks.Ability to provide practical legal advice.Drive to work independently and collaboratively in a fast-paced environment.Strong analytical and problem-solving skills with attention to detail.Proven ability to manage multiple projects and deadlines effectively.
