Job Description:
The International Development group is seeking a Contracts Manager to support our global business. This position is expected to be based in the United States with remote work opportunity.
In this role you will lead and manage the contracts function for CDM Smith’s International Development Group (IDG), ensuring rigorous compliance with client-specific regulations as well as corporate policies and procedures. Oversee all contractual aspects of projects, from initiation to completion, in support of successful project execution and client satisfaction.
Responsibilities include:
I. Contract and Proposal Management/Administration
• Manage and oversee the contract management/administration function and preparation of proposals.
• Serve as primary point of contact and official representative of IDG with clients on contractual matters.
• Explain terms and conditions to project delivery teams throughout the award and project lifecycle, review and approve the contracts approvals matrix.
•Draft, review, edit and approve documents and requests that are sent to the Client Contracting Officer's (CO).
• Review RFPs (Request for Proposals), RFTOPs (Request for Task Order Proposals) and other requests for bids and pricing information for business risks, including financial, performance related, indemnification, export, reputational, and other risks to be mitigated. Show risks and issues, suggest alternatives that lead to the best solution and engage other units and corporate as necessary to address the risk.
• Review and support completing responses for Contractor Performance Assessment Reporting System (CPARS) and respond to any inquiries/questions from the CO’s office.
• Manage and review data for US government reporting systems (FFATA, SAM, eSRS, etc.) as required by regulations and contracts.
• Support subcontract and procurement staff with subcontract agreements and issue resolutions on client contracts including development of required incorporated regulations for inclusion into agreements and consent requests to clients.
• Assist CSL (Client Service Leader) on third Party credit risk determination by Treasurer for new clients, and existing as needed.
• Draft contract close-out related documents such as requests for Contractor quick closeout, excess fund review forms, and USAID Contractor’s release, etc.
• Assist the Treasury Group and Unit Finance group in development of the CDM International Annual Indirect Cost Rate through its submittal of the Incurred Cost Submission (ICS) to DCAA and development of the Negotiated Indirect Costs Agreement (NICRA) with USAID, including its compliance on USAID projects.
• Create required small business plans in line with client goals during proposal stage. Report semi-annually on actual costs and goals through the US government eSRS system, and send to client contracting officers during project implementation.
II. Contract Review and Negotiation
• Serve as the lead for pre-award review of complex, large, high visibility and high-risk contracts.
• Review and negotiate terms and conditions of solicitations, contracts, work orders, team subcontracts, and other agreements after first obtaining required division and corporate reviews.
• Prepare teaming agreements, non-disclosure agreements, and other contractual agreements to advance business needs when we serve as subcontractor to a Prime.
• Stay abreast of USG (US Government) rules and regulations applicable to the management of contracts and procurement (FAR, AIDAR (Agency For International Development Acquisition Regulation), ADS (Aid Directive System), DSSR (Department Of State Standard Regulations), OMB (Office of Management Budget), CFR (Code of Federal Regulations).
III. Department and Team Management
• Serve as the primary point of contact for high-risk contract management or administration issues within assigned area of responsibility.
• Provide assistance and cooperation to the corporate function for government audits.
• Take an active role with cross departmental teams, taking part in corporate initiatives and proposing innovative solutions to problems of medium complexity.
• Work with senior representatives from other departments on company-wide initiatives and issues.
• Manages the day-to-day activity of supporting contracts and subcontracts.
• Manage the development and training of staff.
IV. Contract Compliance
• Oversee the management of cost and proposal administration including Summary of Offer, Representations, Certifications, proposal support documents and subcontracting plans.
• Ensure compliance with contractual terms and government regulations consistent with policies and procedures and government systems and requirements
V. Contract Finances
• Oversee the management of financial issues associated with contracts including project enrollment and maintenance; cooperates with division in the development of division budget.
VI. Other Contract Support
• Performs other duties in support of the Federal Contracts department.

Minimum Qualifications:
Bachelor's degree. 7 years of related experience with 2 years staff management experience. Domestic and/or international travel may be required. The frequency of travel is contingent on specific duties, responsibilities, and the essential functions of the position, which may vary depending on workload and project demands. Equivalent additional directly related experience will be considered in lieu of a degree.
Preferred Qualifications:
• High proficiency in USG rules and regulations (FAR & AIDAR).
• Previous experience with other international donor contracts such as USAID, Millenium Challenge Corp (MCC), World Bank Group (WBG), Asia Development Bank (ADB), the Australian Department of Foreign Affairs and Trade (DFAT), and/or other foreign Countries/Agencies is preferred.
