Corporate Development and Investor Relations Manager
Job Purpose:
Reportingto the Vice President, Corporate Development and Investor Relations, this position will be responsible for supporting corporatemergers and acquisitions (M&A) activities, market analysis, investor relations,and capital structure decisions. The successful individual will have aunique combination of technical experience within the RF and Microwave orAnalog semiconductor markets, coupled with a strong business background. The successful individual will beself-motivated with an ability to multi-task across multiple activities.
MainDuties and Responsibilities:
M&A:Monitor semiconductor industry developments and peer announcements to stay abreast of deal trends and current deal valuation levels.Maintain M&A database as a central repository for data on target companies.Create detailed financial and valuation models for potential target companies.Analyze strategic impact and ROIC for potential transactions.Participate in deal diligence as needed.Support presentation materials for executive team updates.Help refine corporate processes and guidelines around deal metrics such as WACC, deal multiples, etc.Market Analysis:
Work closely with business unit (BU) marketing managers, outside market research firms, customers and other sources to analyze served addressable market (SAM) opportunity for each of MACOM's major end markets.Identify growth trajectories and drivers within each of these markets and opportunities for market expansion.Identify tangential new market opportunities for MACOM.Leverage knowledge of end markets to help identify new potential M&A candidates.Investor Relations:
Track/summarize quarterly earnings results and news announcements from semiconductor peers and compile any relevant feedback for executive team.Earnings call preparation. Create /maintain Q&A prep document and contribute to conference call script.Update / maintain quarterly consensus model and analyst target models.Quarterly updates to investor presentation and IR website.Analysis of investors that management will be meeting with at various venues.Prioritization of investor meetings / targeting for recruiting new investors.Participation in investor meetings and calls as needed.Annual Strategy Planning Process
Provide support for annual strategic plan.Create financial models to analyze capital structure, potential corporate actions.Peer analysis / benchmarking.Board meeting preparation:
Assist in quarterly BOD package process.Update / maintain quarterly data on peer valuations, MACOM short interest, MACOM stock performance versus peers.Track 13-F filing activity to monitor shareholder ownership changes and major buyers and sellers each quarter.Insurance
Manage annual renewal process.Maintain master cost analysis worksheet following annual renewals.Manage monthly invoices / cash management.Support property policy risk management activities.Investigate areas where new/additional coverage may be needed.Ownership of various projects including refining workers comp class codes, business continuity plan, cargo insurance analysis, aviation insurance background data, analysis of business interruption values.Experience and Skills Required
5-10 years of experience in the semiconductor industry specifically within RF and Microwave or Analog applicationsB.S. or M.S in Engineering with MBA (preferably Finance/Accounting)Ability to work effectively and efficiently with diverse teams, customers, internal and external partners and stakeholders.Be able to thrive and succeed in a fast-paced environment, and not be hindered by ambiguity or competing priorities.Possess the ability to communicate clearly, accurately and directly, both verbally and in writing to a multinational and cross functional audience.Demonstrated ability to manage multiple simultaneous projects requiring efficient organization, frequent and direct communication and the ability to influence across all levels of the organization.Innovative, dynamic thinker with sound analytical techniques and ability to solve problems systematically.Show demonstrated ability to drive continuous improvement.
