The ideal candidate will possess a robust background in corporate transactional work, including mergers and acquisitions, private equity transactions, and venture capital financing. This role demands excellent technical and client service skills, with a strong emphasis on collaboration and problem-solving.Key Responsibilities:Handle complex corporate transactions, including mergers and acquisitions, private equity investments, and venture capital financing.Manage private placements of debt and equity securities and strategic joint ventures.Provide expert counsel on corporate governance and private investment funds.Draft, review, and negotiate transaction documents, agreements, and other legal instruments.Collaborate with clients to develop and implement effective strategies for various corporate matters.Conduct thorough due diligence and provide detailed analyses of transaction risks and opportunities.Represent clients in meetings, negotiations, and regulatory matters as needed.Maintain up-to-date knowledge of relevant laws, regulations, and industry trends to provide accurate and timely legal advice.Requirements:A minimum of 4 years of demonstrated corporate transactional experience.Strong experience in mergers and acquisitions, private equity transactions, and venture capital financing.Proven expertise in private placements of debt and equity securities, strategic joint ventures, and capital markets.In-depth knowledge of corporate governance, private investment funds, and general corporate matters.Bar admission in good standing in Connecticut.Excellent technical, professional, and client service skills.Outstanding written and verbal communication skills.Ability to work effectively in a team-oriented environment with a focus on collaboration.Strong problem-solving capabilities with the ability to work independently and proactively.Education:
Juris Doctor (JD) degree from an accredited law school.Certifications:
