Corporate/M&A Associate Attorney
with 4 to 6 years of experience. The ideal candidate will have a strong background in preparing primary transaction documents for complex deals, representing both buyers and sellers. Additionally, experience in equity financing transactions is essential, and any knowledge of fund formation is a plus. The position offers a competitive benefits package, including a 401(k) plan, health and dental insurance contributions, a subsidized gym membership, and disability coverage.Key Responsibilities:Draft and negotiate key transactional documents, including purchase agreements, shareholder agreements, and other legal contracts for mergers, acquisitions, and equity financing transactions.Represent both buyers and sellers in sophisticated M&A deals, providing strategic counsel to ensure smooth and compliant transactions.Collaborate closely with corporate clients and stakeholders to structure deals and oversee transaction execution.Work on equity financing transactions, advising clients on compliance, structuring, and negotiation strategies.Assist in the formation and structuring of private equity and venture capital funds, if applicable.Conduct thorough due diligence, identifying potential risks and opportunities, and present findings to clients to guide their decision-making process.Support senior attorneys in more complex corporate matters, helping manage cross-functional legal teams to ensure seamless deal flow.Stay current on industry regulations, legal precedents, and emerging trends that impact corporate and M&A law, providing clients with informed and strategic advice.Qualifications and Experience:4-6 years of relevant experience in corporate law, with a focus on M&A and equity financing transactions.Experience preparing and negotiating key transactional documents for both buyers and sellers in M&A deals.Familiarity with fund formation is highly desirable but not required.Strong experience in managing the various phases of sophisticated transactions, including due diligence, contract drafting, and negotiation.Excellent communication and analytical skills, with the ability to translate complex legal matters into practical advice for clients.Educational Background:Juris Doctor (J.D.) from an accredited law school.Active member in good standing with the California State Bar.Certifications:Ongoing participation in Continuing Legal Education (CLE) is preferred, especially in corporate and M&A law.Skills and Abilities:Exceptional drafting and negotiation skills, particularly in the preparation of transaction documents for M&A and equity financing deals.Proven ability to work in a fast-paced, deadline-driven environment, managing multiple projects and clients simultaneously.Strong analytical skills with a high level of attention to detail, particularly in identifying risks during due diligence and contract negotiations.Ability to work collaboratively within a team and effectively manage client relationships.Entrepreneurial mindset, with a focus on providing strategic advice to clients that aligns with their business goals.401(k) retirement plan with firm contributions.Contributions to health and dental insurance plans.Subsidized gym membership or access to fitness facilities.Disability insurance coverage.This role is an exceptional opportunity for an experienced corporate attorney to expand their expertise in M&A and equity financing transactions.
