The successful candidate will work closely with a dynamic team of professionals to provide strategic counsel on intellectual property aspects of major corporate transactions. This role offers an exciting opportunity to engage in complex deals, such as mergers, acquisitions, joint ventures, and financing, with a focus on intellectual property rights and technology agreements.Duties:Provide legal advice on the intellectual property aspects of corporate transactions, including mergers, acquisitions, joint ventures, and financings.Conduct due diligence investigations related to intellectual property rights in corporate transactions.Draft and negotiate a variety of commercial contracts, including license and technology agreements.Counsel clients on intellectual property rights, ensuring compliance and mitigating risks in strategic transactions.Collaborate with cross-functional teams to ensure seamless transaction execution.Stay up-to-date with evolving intellectual property laws and regulations to provide informed legal guidance.Requirements:Significant experience advising on intellectual property issues in corporate transactions, including buy-side and sell-side transactions.Expertise in conducting due diligence investigations and negotiating complex agreements related to intellectual property and technology.Strong foundation in the key areas of intellectual property law.Admission to the California State Bar is mandatory.Proven ability to work in a fast-paced, high-stakes legal environment with multiple clients and deadlines.Education:Juris Doctor (JD) degree from an accredited law school.Certifications:Admission to practice law in the state of California.Skills:Strong drafting and negotiation skills with a keen attention to detail.Ability to effectively manage multiple projects and clients simultaneously.Excellent verbal and written communication skills.Problem-solving mindset with the ability to offer practical solutions in complex legal matters.Collaborative team player with the capacity to work independently when needed.In-depth knowledge of intellectual property laws and the corporate transaction process.
