Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for an interim Structured Finance / Securitization Attorney.
Overview:
MLA is seeking a business-oriented, interim structured finance / securitization attorney to join our client’s dynamic Legal team. This individual will help support the structured finance line of business and work collaboratively across all of the firm’s functions and departments to complete assigned duties. A successful candidate must be confident and exhibit good judgment with the ability to work independently, and excel in a fast-paced environment.

Responsibilities Include:
Advise and assist investment bankers with securitizations and negotiation of key documentation.
Provide expert legal counsel and support in structuring, negotiating, and documenting structured finance transactions, including ABS, CMBS, CLO, and other complex asset classes.
Assist in the development and implementation of trading strategies and policies for structured products, including working with 144A documentation for securitizations and whole loan sales and secondary market trading.
Collaborate with Trading teams to identify legal risks and opportunities in transactional activities and market developments.
Draft and review legal documents, including offering memoranda, prospectuses, trading agreements, and related transactional documentation.
Qualifications Include:
J.D. from an accredited law school and admission to any state bar in the United States.
10+ years of experience working in a top tier law firm and in-house as an attorney managing structured finance transactions, collateral-based lending and securitization transactions.
Experience drafting, reviewing and negotiating including multi-party agreements with leverage providers, account control agreements, asset transfer agreements, back up servicing agreements, non-disclosure agreements, engagement letters and transaction agreements.
Experience at an investment bank working as a broker-dealer or underwriter in structured finance.
Familiarity with 144A documentation for securitizations and whole loan sales and trading, as well as secondary market trading of structured products.
Ability to operate independently, issue-spot and negotiate with minimal supervision.
Strong communication skills.
Strong sense of ownership of work product and ability to proactively anticipate the needs of the Legal Team and Loan Sales and Trading Group.
Exhibit sound legal and business judgment with the confidence to know when to escalate legal issues to a supervisor.
Strong work ethic, the ability to excel in a fast-paced environment and great interpersonal skills.
