A leading law firm is seeking a Corporate Attorney to join its Business Practice Group. This role involves working on a variety of business transactions, including mergers and acquisitions, securities law, and venture capital financing. The ideal candidate has 3-6 years of transactional experience and a strong background in corporate law, providing the opportunity to work closely with clients and serve as outside general counsel on various business matters.Location

Duties

Represent clients in corporate matters, including drafting and negotiating purchase agreements, investment transactions, and governance documents.Advise clients on securities law compliance and regulatory matters.Manage both buy-side and sell-side mergers, acquisitions, and dispositions.Work with a team of specialists across different practice areas to provide comprehensive legal counsel.Develop and maintain strong client relationships by delivering high-quality work and responsive communication.Stay informed on the latest developments in corporate law to offer cutting-edge advice to clients.Requirements

3-6 years of experience as a transactional attorney, with a focus on mergers and acquisitions, securities, and corporate governance.Proven ability to manage multiple tasks and complete them within tight deadlines.Strong interpersonal and communication skills, with a commitment to client service.Education

Juris Doctor (JD) degree from an ABA-accredited law school.Certifications

Active bar membership in Michigan, Illinois, California, or Texas, or eligibility to practice remotely with appropriate licensure.Skills

In-depth knowledge of corporate and business transaction processes, particularly in M&A and securities law.Ability to work effectively in a team and provide guidance to junior associates.Excellent organizational skills and attention to detail.Proficiency in drafting complex legal documents and analyzing regulatory requirements.
