A prestigious law firm is seeking an experienced Technology and Data Transactions Associate Attorney to join its Boston office. This role is part of the firm’s Data Strategy, Security & Privacy practice group and involves drafting and negotiating complex technology and data-related agreements across various industries. Duties
Draft and negotiate a range of technology and data-related contracts, such as software development, licensing agreements, cloud computing, and master services agreementsHandle agreements for various industries, including fintech, healthcare, retail, transportation, energy, construction, hospitality, education, and real estateSupport multidisciplinary transactions, including mergers and acquisitions and financing agreementsConduct due diligence on technology-related matters, such as intellectual property ownership, licensing terms, and information securityAdvise clients on privacy and cybersecurity provisions in contracts and ensure compliance with regulations like CCPA and GDPRCollaborate with cross-functional teams to provide legal support for commercial activitiesRequirements
3-5 years of relevant experience in a law firm or in-house environmentProven experience drafting and negotiating complex technology, intellectual property, and data-related commercial contractsFamiliarity with technology matters in corporate transactions, including software licensing, open-source issues, and IT securityKnowledge of privacy laws and regulations, such as CCPA and GDPR, and experience drafting privacy policies and website terms of useStrong analytical, drafting, and communication skills to effectively convey legal risks and opportunities to clientsEducation
Juris Doctor (J.D.) degree from an accredited law schoolCertifications
Admission to the state bar (Massachusetts preferred, or eligibility for reciprocity)Skills
Proficient in contract negotiation and drafting within technology and data transactionsExcellent interpersonal and communication skills, with the ability to work cross-functionally with commercial teamsAbility to manage multiple priorities in a dynamic, fast-paced environmentA responsive and proactive attitude, with a strong commitment to client service
