This position requires substantial experience within the following areas: mergers and acquisitions (private and preferably also public transactions, including those involving private equity buyers), financings (including venture capital and other private and public financings), transactional related securities compliance, and broad based commercial and corporate experience. Must possess excellent writing and analytical skills and have demonstrated leadership running transactions. A Juris Doctor degree from an ABA accredited law school and NY Bar admission is required. Specific experience should include:M&A: drafting, reviewing, and negotiating merger agreements, stock purchase agreements, asset purchase agreements, letters of intent and related agreements.Financing: preparing documents for financing transactions including venture capital and other equity transactions, and related securities law analysis.Equity Holder Agreements: drafting, reviewing, analyzing equity holder agreements including limited liability company operating agreements, partnership agreements, shareholder agreements, joint venture agreements, etc.Due Diligence: coordinate, conduct and manage due diligence reviews, including overseeing junior associate work.Securities: knowledge of and experience with federal and state securities laws, with a focus on private and public transactions such as initial public offerings, secondary offerings, PIPEs, private placements under Regulation D, M&A transactions involving Form S-4, proxy solicitations, etc. Candidate should have knowledge of reporting obligations and filings under the Securities Exchange Act of 1934 (including Form 10-Ks, 10-Qs, Section 16 filings and proxy statements), and experience with filings and issues arising under the Securities Act of 1933.The ideal candidate will have broad experience in all or most of the above areas.Resumes and cover letters can be sent to Royce Akiva at [insert email].The anticipated compensation range for this position is $170,000 – 205,000.
