This role plays an important part in managing the in-house legal team and liaising with external counsel. The position proactively managing legal risks, supporting business operations, and contributing to the company’s long-term goals. Prepare and review board materials, minutes, resolutions, and other governance documents.Assist with corporate governance matters, including developing and implementing corporate policies, maintaining corporate records, and ensuring compliance with securities laws and stock exchange requirements.Partner with Chief Accounting Officer to prepare and review SEC filings, including 10-K, 10-Q, 8-K, proxy statements, and other required disclosures. Ensure timely and accurate submission of all filings in compliance with SEC regulations.Oversee our real estate function, with a primary focus on leasing matters. This role involves providing strategic legal counsel on lease negotiations, drafting and reviewing lease agreements, and ensuring compliance with relevant real estate regulations.Manage franchise compliance matters, ensuring adherence to all applicable laws and regulations. This position involves providing expert legal guidance on Franchise Disclosure Documents and related filings, franchise agreements, and Area Development Agreements.Ensure compliance with federal, state, and local laws and regulations affecting the company’s operations. Develop and implement policies and procedures to mitigate legal risks.Draft, review, and negotiate a variety of contracts including vendor agreements, lease agreements, franchise agreements, and other commercial contracts. Ensure that all contracts align with the company’s goals and legal standards.Oversee and manage litigation matters involving the company. Work closely with external counsel to develop strategies, manage costs, and achieve favorable outcomes.Identify and assess potential legal risks and develop strategies to mitigate them. Provide training and guidance to employees on legal issues and best practices.Collaborates with external counsel as needed, exercising sound judgment to balance organizational risk and budget constraints.Oversee the daily operations of the legal department, including managing legal staff, budget, and departmental policies and procedures.Protect the company’s intellectual property assets by advising on trademarks, copyrights, and trade secrets.Ensure all marketing and promotional activities comply with relevant laws and regulations, including FDA and FTC guidelines.What You Bring to the TeamMinimum of 7-10 years of experience in governance, securities, SEC reporting and corporate finance matters.Juris Doctor (JD) degree from an accredited law school.Active bar membership in good standing, preferably in Colorado.Experience working with and directly advising executive teams and boards of publicly traded companiesExcellent communication skills and a demonstrated ability to maintain strong working relationships with all stakeholders across the organization, including the executive level and Board of Directors.Proven ability to apply sound judgement while managing complex subject matter and issues.High degree of organization and efficiency with demonstrated attention to detail.Excellent written, verbal, and interpersonal communication skill.Ability to manage several matters simultaneously in a fast-paced workplace environment.Noodles is an
