Offer strategic advice on corporate governance and compliance matters.Lead capital-raising efforts through private offerings and debt/equity financing, collaborating with various sources including angel investors, venture funds, and banks.Structure, negotiate, and execute complex transactions across multiple industries.Provide expertise in public company matters, capital markets, securities, and M&A as needed.Build and sustain strong client relationships, providing proactive legal solutions.Participate in pro bono and public service projects to support underserved communities.Collaborate with colleagues across multiple offices.Requirements
Experience:
Minimum of 7 years representing early-stage and emerging brands in capital raise transactions, including private offerings and a range of financing solutions. Additional expertise in public company matters, capital markets, and M&A is advantageous.Client Base:
A partial portable book of business is required.Academic Credentials:
JD from an ABA-accredited law school.Licensing:
Active law license.Skills:
Strong analytical and writing skills, with a client-focused approach.Project Management:
Ability to manage multiple responsibilities independently and as part of a team.Education
Juris Doctor (JD) from an ABA-accredited law school.Certifications
Active law license.Skills
Deep understanding of corporate governance and venture capital transactions.Proficient in financing transactions, investor relations, and compliance advisory.Strong organizational skills and attention to detail.Excellent communication abilities for effective client engagement and management of complex legal matters.Skilled in drafting, negotiating, and finalizing transactional documents for a variety of investments.
