Provide ongoing, close counsel to small and large business clients on general corporate governance.Lead capital-raising transactions, including private offerings and debt/equity financing from angel investors, venture capital funds, and other sources.Structure and oversee complex transactions for emerging brands across a range of industry sectors.Collaborate with attorneys across multiple office locations on cross-functional client matters.Advise clients on securities matters, capital markets, mergers and acquisitions, and public company issues.Foster long-term client relationships by delivering high-quality, proactive legal solutions.Participate in pro bono and public service matters, contributing to firm initiatives on social impact.Requirements
Experience:
Minimum of 7 years of experience representing early-stage brands in capital raise transactions, including private offerings and financing from various investor sources. Additional expertise in public company issues, capital markets, and M&A is advantageous.Book of Business:
A partial portable client base is required.Academic Credentials:
JD from an ABA-accredited law school with strong academic performance.Licensing:
Active law license.Skills:
Excellent analytical, writing, and client-service skills, with a strong commitment to communication and client satisfaction.Project Management:
Ability to manage significant responsibilities independently while also collaborating within a diverse team.Education
Juris Doctor (JD) from an ABA-accredited law school.Certifications
Active law license.Skills
