(On-Site).Under the direction of the Deputy General Counsel, Superior Energy Services, Inc. (“Superior”) is seeking a talented attorney to serve as a Corporate Secretary and Compliance Counsel for the company. Superior is a global oilfield products and services company currently unlisted but filing periodic reports under the Securities Exchange Act due to its meeting the applicable size thresholds.Essential Duties and ResponsibilitiesThe Corporate Secretary and Compliance Counsel will serve as the primary attorney in support of the administrative operations of the board of directors and senior management, ensuring compliance, transparency and business integrity, maintaining corporate records and supporting the company’s adherence to its governing framework in accordance with all statutory and corporate regulations and its compliance policies.The selected candidate will be skilled in federal securities law and state corporate law and have had exposure to compliance and ethics issues, as well as managing outside counsel in non-domestic jurisdictions in company secretarial and legal entity management work and providing treasury support for cash management within the broader international legal structure.The role will require collaboration with the Deputy General Counsel and the finance and investor relations teams on drafting the company’s SEC filings, AGM & proxy, Board and Committee meeting materials, minutes and resolutions, and will include matters relating to Delaware Law compliance, public disclosures, securities exchange rules (and monitoring changes to the same), company stock plans / executive compensation, compliance with the company’s insider trading policy, anti-corruption program, banking and corporate transactions, responding to shareholder information requests and general corporate governance, regulatory, compliance and ethics issues.The Corporate Secretary and Compliance Counsel will support the corporate compliance policies and promote an understanding of the company’s Shared Core Values, code of conduct and ethics and its anti-corruption program, including periodic training and annual affirmations. Responsibilities will include management of the third-party reporting hotline, providing guidance to the business in specific regulatory risk areas, such as gift requests, engaging agents, sanctions, third party control processes, obtaining licenses and permits and conducting local investigations for all complaints received through the legal department. This is a full-time office position based at our Downtown offices in Houston, Texas.EducationA Juris Doctor (J.D.) degree from an accredited law school.Knowledge & ExperienceA minimum of 5 years law experience, preferably corporate, including at least 2 years securities law and public company experience with some compliance related activity.A combination of law firm and in-house experience strongly preferred.A license in good standing to practice law in a U.S. jurisdiction with the ability to obtain a law license or limited in-house counsel license in Texas.Excellent written and oral communication skills.A positive attitude, high energy, desire to grow with the business and help maximize opportunities.Strong organizational skills and the ability to manage several simultaneous projects under deadline pressure.Experience maintaining public company reporting processes and procedures.Precision and careful attention to detail.Ability to maintain strict confidentiality of sensitive information.A strong sense of ownership and dedication to personal excellence and improvement.Excellent Benefits : Medical, Dental, Vision, Disability, Life, Matching 401(k)
