POSITION SCOPEThe Contract Manager supports the creation, execution, and analysis of contracts within our Americas business. The Contract Manager ensures that contracts meet all legal requirements within our jurisdictions and align with corporate objectives. This role involves negotiating terms, monitoring compliance, and mitigating risk. The individual is effectively negotiating and executing contracts. The Manager will be actively involved in every stage of the contract lifecycle, from drafting and negotiation to implementation, termination, and renewal. They must ensure compliance with governmental regulations and leadership directives, demonstrating a comprehensive understanding of relevant laws and regulations. With a holistic approach, the Contract Manager will facilitate the fulfillment of contractual obligations by all relevant parties, maintaining accuracy, objectivity, and integrity throughout the process. The Contract Manager is involved in drafting, amending, and modifying various contracts, following established processes and SOPs, and supervising its execution. The overall goal of a Contract Manager is to ensure that the company gets the best possible results from every contract in the portfolio. The Contract Manager ensures that every contract the company has signed fully supports our business goals and meets the terms and obligations that the parties have agreed upon.RESPONSIBILITIESReview, revise, and negotiate contracts to conform to client's contracting guidelines (including supply contracts and NDAs with customers).Draft agreements from company templates.Utilize and maintain contract forms, standard clauses, and guidelines.Organize and file documents into contract-review workflow software and contract lifecycle management tools.Identify unacceptable contract provisions.Escalate complex issues to Legal staff and recommend solutions.Track deadlines to ensure timeline review by stakeholders.Report workflow and contract database status.Ensure that all parties fulfill their contractual obligations and duties.Ensure all contracts comply with legal, regulatory, and company policies.Conduct periodic reviews of existing contracts and provide solutions for resolving disputes.Educate the stakeholders about their rights and responsibilities as per the conditions laid in the contract.Collaborate with internal stakeholders, including human resources, finance, IT, sales, operations, procurement, and other business units to ensure alignment and compliance.Maintain organized records of all contract-related documents and correspondence.Monitor contract performance and ensure compliance with all terms and conditions.Prepare reports on the contract performance.Provide support to leaders in the organization on contract administration, interpretation, and compliance.Update and revise contracts in response to changing national and regional legal regulations.Communicate with internal and external stakeholders on the status of the contractsKNOWLEDGE SKILLS & ABILITIESConduct duties with enthusiasm and a positive, results-focused attitude.Ability to identify problems/issues, look beyond the immediate problem to the wider implications, and generate new solutions to complex problems.Proven communication skills, both written and oral.Impeccable attention to detail.strong background in providing top-tier customer service.Excellent judgment and superior problem-solving skills within the scope of duties.Business acumen, understanding cost and opportunity management.Ability to travel to various locations in Canada, USA, Central and South America, and internationally.Strong legal knowledge and understanding of contract laws and principles.Exceptional negotiation and communication skills.Excellent organizational skills and attention to detail.Ability to manage multiple priorities and deadlines effectively.Computer Skills: Microsoft Office Suite, database software, etcBachelor's degree in business administration, or a related field.Paralegal certification preferred.Minimum 5 years of proven experience in Contract Management experience.While expertise in Brazilian or Mexican law is not required, experience in closing deals in Brazil and Mexico will be considered an asset.Food manufacturing and/or agriculture experience considered an asset.WORKING CONDITIONSTypical standard office environment most of the time, may visit a production facility, warehouse, or farm on occasion. Must be able to wear of required personal protective equipment and adhere to all safety protocols.Some travel requiredHybrid working scheduleCOMPENSATION
