JOB DESCRIPTION
As an associate practicing within our client's Private Investment Funds Group, you will focus on the needs of private investment fund sponsors and investors at every stage from formation and operation to liquidation. This is an exciting opportunity to collaborate with other attorneys with deep experience in investment transactions for fund clients. You will be expected to form funds ranging in size from several million dollars to several billion dollars with a variety of fundraising strategies and investment focuses. Billable hour requirement: 1800
- Navigate complex domestic and cross-border regulatory and tax issues involved in fund formation and operation relevant to U.S. and non-U.S. investors
- Draft and review general corporate contracts, with focuses on internal carry structure, compliance manuals, board resolutions, private placement memorandums, and operating agreements
- Prepare, draft and negotiate side letters for national and international investors.
- Advise clients on the structure and terms of co-investment vehicle as well as both secondary and GP-led continuation vehicle transactions
- Prepare and coordinate Most Favored Nations ("MFN") elections, world sky, and CFTC registrations
- Aid in small business loan assistance, with a focus on the government funded PPP program
- Extensive experience assisting individuals apply for U.S. Citizenship through pro bono work for Project Citizenship
Requirements
- Must have over 4 years of experience with private funds within a law firm setting
- Must be admitted to practice in Massachusetts
