We are searching for an Associate Director or Director of Corporate Counsel to join a collaborative, forward-thinking team that’s shaping the future of biotech. In this role, you’ll be more than a legal expert—you’ll be a strategic partner, helping us navigate the evolving landscape of life sciences with agility and insight. We’re looking for someone who not only brings a strong legal foundation but who also thrives in an innovative environment where every voice and perspective is valued. The ideal candidate will have experience in the biotech or life sciences sector and a solid grasp of industry regulations, compliance, and intellectual property. Your expertise will help us manage risk thoughtfully, support growth, and ensure we stay true to our ethical standards and mission.

In this role, you will be responsible for the following…

  • Strategic Legal Counsel: Providing proactive and strategic legal advice to the executive team and business leaders on a wide range of legal matters, including corporate governance, trademarks and patents, intellectual property, data privacy, employment law, and litigation
  • Contract Management
    Overseeing the drafting and review of all contracts, including complex partnership agreements, licensing agreements, and vendor contracts

  • Compliance
    Ensuring that Dewpoint complies with applicable state and federal laws and regulations

  • Data Privacy
    Advising and assisting with the growth and maturation of Dewpoint’s compliance efforts, including with GDPR, CCPA, and other relevant data protection regulations

  • Litigation and Dispute Resolution
    Managing and overseeing litigation and dispute resolution processes, including selecting and overseeing outside counsel and managing legal budget(s)

  • Intellectual Property
    Protecting the company’s intellectual property and manage IP-related legal issues

  • Employee Relations
    Providing legal guidance on employment related matters, including but not limited to employment offers, terminations, contracts, policies and disputes

  • Mergers & Acquisitions
    Leading legal due diligence and provide legal support for mergers, acquisitions, and other strategic transactions as applicable

  • Corporate Governance
    Advising the Executive Leadership Team on corporate governance matters, including board of directors' meetings and shareholder communications, and ensure compliance with corporate policies and procedures

  • External Relationships
    Developing and maintaining strong relationships with external stakeholders, including outside counsel, regulatory agencies, and industry associations

To do that, you will need…

  • Juris Doctor (JD) and an active license to practice law.
  • 5+ years of legal experience, with a preference for in-house experience within the biotech or life sciences sectors
  • Proven expertise in contract preparation and review, with a thorough understanding of contracting concepts and terms
  • Collaborative skills and strong interpersonal abilities to work seamlessly across functions and foster positive relationships
  • Demonstrated ability to develop and implement innovative ideas, procedures, and organizational improvements that drive impactful change
  • Exceptional analytical and communication skills, along with strong presentation, leadership, and team-building capabilities
  • A proactive, self-starting approach to efficiently manage projects and responsibilities
  • Effective problem-solving and conflict resolution skills to navigate complex legal and organizational challenges
  • Proficiency in Microsoft Office Suite, including Word, Excel, Access, and PowerPoint, for seamless document management and presentations
