POSITION SUMMARY
As a Mergers and Acquisitions (M&A) Lawyer at Cardone Ventures, you will play a pivotal role in advising the Company on high-stakes business transactions, including mergers, acquisitions, divestitures, and corporate restructurings. You will work closely with the CFO & COO to evaluate, negotiate, close investment transactions for the Firm’s balance sheet and Cardone Equity Group. You will ensure compliance with regulations, mitigating risks, and providing strategic guidance to optimize the transaction’s success. Your expertise will be critical in shaping deal structures, conducting due diligence, and drafting essential legal documents for successful transactions.

SUCCESS LOOKS LIKE
- Successfully executing M&A transactions for Cardone Ventures and Cardone Equity Group while mitigating risk during the process
- Successfully managing outside counsel involved in due diligence, transaction structuring and execution; including managing legal fees related to these activities
- Negotiating favorable legal terms for Cardone Ventures to ensure success of the deal and support from Executive leadership
OBJECTIVES
- Assist in due diligence efforts, and identify and address potential risks in M&A transactions for both the corporate balance sheet and Cardone Equity Group.
- Work with financial advisors, tax specialists, outside counsel, senior executives, and internal teams on transactions, and to integrate legal advice into broader business strategies.
- Create and review critical transaction-related agreements, including letters of intent, purchase agreements, shareholder agreements, joint venture agreements, and financing documents.
- Manage and execute the steps and processes to close transactions, and assist with execution and understanding of any post-execution activities, deliverables, and milestones..
- Ensure all M&A transactions adhere to relevant regulatory frameworks, including antitrust, securities, and corporate governance laws.
- Support corporate governance and portfolio company management efforts
- Manage budgets related to outside counsel engaged for transactions and portfolio company initiatives
COMPETENCIES
- Deep understanding of private equity and venture capital fund and deal structures
- Deep understanding of corporate, antitrust, securities, and commercial laws affecting M&A transactions.
- Ability to lead complex negotiations, balancing risk mitigation with achieving client objectives.
- Thoroughness in reviewing legal documents, identifying potential liabilities, and ensuring legal accuracy in all aspects of a deal.
- Effective at managing multiple deals and deadlines, ensuring timely and accurate delivery of legal services
- Proven ability to handle large, complex M&A deals in a business consulting environment or corporate setting.
EDUCATION
- Juris Doctor (JD) from an accredited law school.
- Minimum of 5-8 years of experience practicing corporate and/or securities law, with a focus on mergers and acquisitions.
