Temporary Corporate Counsel (Remote)The Corporate Counsel position within the Omnicell Legal Department will negotiate contracts for Omnicell’s procurement related activities. Working alongside Omnicell’s highly skilled Procurement team, the Corporate Counsel will lead commercial negotiations with vendors and receive mentorship from the team for continued professional development and growth. A successful candidate will have experience working on a variety of procurement matters, deal negotiation and analysis, contract drafting and advising business unit leaders. A strong sense of partnership and a commercial viewpoint are key.Responsibilities:Lead review, drafting, and negotiation of all types of procurement related agreements, including services agreements, amendments, statements of work, XaaS offerings, SaaS offerings, software license agreements, and confidentiality agreements.Advise internal business stakeholders and management of contractual rights and obligations and provide plain-language interpretation of terms and conditions and risks.Prepare contracts including coordination with the Legal team, Procurement, and other stakeholders to manage workflow and ensure contracts are timely and accurately completed.Understand the operations of internal business partners and the strategic goals of the company and oversee the drafting and negotiation of legal documents accordingly. Keep Legal/Procurement personnel and internal business partners apprised of legal and regulatory issues and concerns, contract negotiations, and negotiated terms.Interface with assigned internal business units to ensure contractual documents are drafted correctly, and effectively manage relationships with those internal business units.Maintain strong and effective relationships with internal business stakeholders.Required Knowledge and Skills:Strong initiative and ability and willingness to learn and seek information.Ability to think critically to identify issues and to offer pragmatic, actionable solutions.Experience working within fast-growing healthcare or technology companies. Knowledge of procurement agreements, group purchasing, distribution, data privacy and/or technology highly preferred. Strong background advising and structuring commercial transactions required.Basic understanding of data privacy and security laws, rules, and regulations and ability to apply that to various types of vendor engagements that involve the processing of data that may include PII and/or PHI.Excellent written and verbal communication skills with demonstrated ability to effectively address all levels of in-house and customer representatives.Effective interpersonal and problem-solving skills.Strong contract negotiation skills, including a solid understanding of common legal and business terms and conditions and the ability to effectively explain one’s position to others.Ability to read, analyze, and interpret laws, rules, and regulations, legal documents, and financial and other reports, with experience in the principles, practices, and laws associated with procurement related matters.Ability to anticipate, recognize, and define problems from both a legal and overall corporate perspective, collect data, establish facts, and draw logical and valid conclusions based on sound legal and business judgment.Ability to independently set and communicate aggressive, achievable, prioritized goals and timelines to internal customers regarding the delivery of contract documents.Ability to meet demanding deadlines with an understanding of peak ebbs and flows of position requirements.Ability to confront conflicts directly and respectfully.Capability to adapt quickly to new and evolving internal and business policies and procedures.Strong ability to balance the need for a rapid response with the need for accuracy and completeness of information.Outstanding judgment.Attention to detail and well organized.Proficiency with Microsoft Office Suite.Basic Qualifications:J.D.; member in good standing of a state bar.3+ years of experience drafting, reviewing, and negotiating complex, vendor and procurement related contracts.3+ years of experience with complex technology transactions.Preferred Qualifications:Healthcare industry experience.Experience with leases and other real estate related contracts.In-house legal experience.Work Environment:Remote work environment.Flexibility in working hours as needed.Occasional travel.
