Senior Director & Senior Corporate Counsel, Commercial
Reporting to the VP, Legal – Assistant General Counsel, & Assistant Secretary, the Senior Director & Senior Corporate Counsel, Commercial will support corporate legal initiatives primarily in connection with customer relationships, corporate transactions and compliance. This role will work closely with the Assistant General Counsel and the legal team, including outside counsel as needed, to partner with business stakeholders to support projects. The Senior Director & Senior Corporate Counsel, Commercial must have exceptional legal, drafting, leadership, teamwork, and communication skills, with the business acumen and gravitas necessary to operate independently and effectively as in-house counsel in a high-growth, fast-paced environment.Responsibilities:Support the sales team, including leading negotiation and drafting lease agreements, master service agreements, statements of work, service level agreements, and other customer-related documentation.Coordinate with business and legal stakeholders, including as applicable capital markets, tax, finance, site acquisition and construction to negotiate and deliver financeable, complex data center real estate leasing products to customers.Ensure that contracts and agreements comply with applicable laws, regulations, company debt document and company policies.Advise internal stakeholders on legal and contractual matters, including contract interpretation, rights, and obligations.Stay updated on relevant laws and regulations affecting sales and customer agreements, including leases.Support the Assistant General Counsel as necessary in supporting and maintaining an effective internal compliance program.Manage and evaluate outside counsel as directed by the Assistant General Counsel.Qualifications:10-12 years’ experience as a practicing lawyer.
