Handle complex mergers and acquisitions, particularly within the private equity space.Collaborate with national sponsors on high-profile deals and transactions.Lead and manage M&A transactions from initiation through closing.Provide strategic legal advice and solutions to clients, ensuring their objectives are met.Draft, review, and negotiate various transaction documents, including purchase agreements, shareholder agreements, and related contracts.Conduct due diligence and work closely with other legal and business teams to address regulatory and compliance issues.Develop and maintain client relationships, serving as a trusted business and legal advisor.Requirements
Minimum of 7 years of experience in mergers and acquisitions, with a focus on private equity transactions.Previous experience working in private practice, preferably with a large firm or specialized M&A practice.Strong legal drafting, negotiation, and analytical skills.Demonstrated ability to manage complex transactions and lead teams.Excellent interpersonal and client development skills.Education
Juris Doctor (JD) degree from an ABA-accredited law school.Certifications
Active license to practice law in at least one U.S. jurisdiction, with eligibility for prompt admission to practice in Minnesota, Iowa, or Wisconsin.Skills
