Tax Equity Financing:
Advise on structuring tax equity investments for renewable energy projects, including solar, wind, and other sustainable energy initiatives.Negotiate and document tax equity financing transactions, ensuring compliance with federal and state tax regulations.Handle tax credit transfer transactions, providing guidance on tax credit eligibility and structuring strategies.
M&A Transactions:
Structure and support mergers and acquisitions related to renewable energy assets and other tax-sensitive investments.Collaborate with corporate teams to integrate tax considerations into M&A transactions and negotiations.Provide comprehensive legal support on tax implications of project acquisitions, sales, and financing arrangements.
Client Advisory and Transactional Support:
Deliver legal and tax advisory services to clients, including corporate entities, financial institutions, and renewable energy developers.Draft, review, and negotiate legal documents related to tax equity financing, partnership agreements, and other investment contracts.Assist clients in identifying and mitigating tax risks associated with complex transactions.
Regulatory Compliance:
Stay informed on evolving tax regulations and policies impacting renewable energy incentives, such as the Investment Tax Credit (ITC) and Production Tax Credit (PTC).Advise clients on compliance with relevant federal and state tax laws and regulations.
Requirements
Experience:
Minimum of 3 years of experience in structuring and negotiating M&A transactions.Proven experience with tax equity financings for renewable energy projects.Experience in handling tax credit transfer transactions is preferred.
Education:
Juris Doctor (JD) degree from an accredited law school.Strong academic record with a focus on tax law or related disciplines.
Licenses/Certifications:
Must be admitted to practice law in California.

Excellent legal research capabilities with a focus on tax law and energy regulations.Strong writing skills, with experience in drafting and negotiating complex legal documents.
