A law firm in Washington, DC is seeking a Tax Equity Associate Attorney to join its team. The successful candidate will have specialized experience in tax equity financings for renewable energy projects and tax credit transfer transactions. This role requires exceptional academic credentials, strong research and writing skills, and admission to practice law in Washington, DC.Key Responsibilities
Tax Equity Financing:
Provide legal expertise on structuring and negotiating tax equity investments in renewable energy projects, including solar, wind, and other green energy initiatives.Oversee tax credit transfer transactions, ensuring compliance with relevant tax laws and regulations.Advise clients on tax equity structures to optimize investment returns and compliance with federal and state tax incentives.
M&A Transactions:
Structure and negotiate mergers and acquisitions involving renewable energy assets and tax-sensitive investments.Collaborate with corporate and finance teams to integrate tax considerations into M&A deals and negotiations.Deliver comprehensive legal support on tax implications and strategies related to project acquisitions, sales, and financing.
Client Advisory and Transactional Support:
Offer tax and legal advisory services to a diverse client base, including corporations, financial institutions, and renewable energy developers.Draft, review, and negotiate legal documents for tax equity financing arrangements, partnership agreements, and investment contracts.Identify and mitigate tax-related risks in complex transactions, providing strategic solutions to clients.
Regulatory Compliance:
Stay abreast of changes in tax regulations and policies affecting renewable energy incentives, such as the Investment Tax Credit (ITC) and Production Tax Credit (PTC).Advise clients on compliance with federal and state tax laws and regulations relevant to renewable energy projects.
Requirements
Experience:
At least 3 years of experience in structuring and negotiating M&A transactions.Proven experience in tax equity financings for renewable energy projects is essential.Experience with tax credit transfer transactions is preferred.
Education:
Juris Doctor (JD) degree from an accredited law school.Strong academic credentials, with a focus on tax law or related fields.
Licenses/Certifications:
Admission to practice law in Washington, DC.

Exceptional legal research skills, particularly in tax law and renewable energy regulations.Strong drafting, negotiation, and analytical writing skills.
Communication:
