The attorney will provide legal advice to clients, ensure regulatory compliance, and collaborate with various stakeholders to facilitate successful M&A activities.Duties and Responsibilities:Conduct thorough due diligence on potential merger and acquisition targets, including reviewing financial statements, contracts, and other relevant documents.Draft and negotiate transactional documents such as merger agreements, asset purchase agreements, and confidentiality agreements.Manage the due diligence process for M&A transactions to ensure accuracy and completeness.Perform legal research and analysis on complex issues related to mergers and acquisitions.Provide legal advice and guidance to clients on various aspects of M&A transactions.Collaborate with internal and external stakeholders to ensure compliance with applicable laws, regulations, and industry best practices.Assist in the preparation and review of legal documents, including legal opinions, memoranda, and presentations.Stay updated on relevant legal developments and industry trends to offer proactive and strategic legal advice.Demonstrate a strong understanding of industry practices and evolving market terms.Exhibit superlative drafting skills and attention to detail in preparing primary and ancillary acquisition transaction documents.Manage parts of transactions independently while remaining flexible to work within teams.Requirements:Experience:
4-6 years of legal experience, currently working at a large AmLaw 100 law firm as an M&A associate, representing public and private companies in a variety of transactions, including acquisitions, joint ventures, and corporate governance.Education:
Juris Doctor (J.D.) degree from an accredited law school.Certification:
Admitted to, and a member in good standing of, the New York Bar.Skills:
