The ideal candidate will possess strong M&A skills, including leading the drafting and negotiation of definitive and ancillary documents, managing deal processes and client relationships, and supervising junior associates. The candidate should exhibit strong interpersonal and communication skills, a high degree of maturity and business sense, and the ability to effectively manage internal and external client relationships. Large regional, national, or international law firm experience is preferred. The position is based in Newport Beach, CA.Duties and Responsibilities:Lead the drafting and negotiation of definitive and ancillary documents for mergers and acquisitions.Manage the deal process from inception to closing, ensuring all aspects are handled efficiently and effectively.Supervise and mentor junior associates, providing guidance and support in their professional development.Handle day-to-day demands on various mergers and acquisitions-related matters.Maintain and strengthen client relationships by providing high-quality legal advice and support.Collaborate with internal teams and external stakeholders to facilitate smooth transaction processes.Conduct due diligence and identify potential risks and issues related to mergers and acquisitions.Stay updated with the latest legal trends and developments in corporate law to provide informed advice to clients.Requirements:6-8 years of experience in mergers and acquisitions, with a strong track record of handling complex transactions.Demonstrated experience in drafting and negotiating definitive and ancillary M&A documents.Proven ability to manage deal processes and client relationships effectively.Strong interpersonal and communication skills, with the ability to interact professionally with clients, colleagues, and other stakeholders.High degree of maturity, business sense, and judgment.Experience supervising and mentoring junior associates.Ability to handle multiple priorities and work under tight deadlines.Large regional, national, or international law firm experience preferred.Education and Certifications:Juris Doctor (JD) degree from an accredited law school.Admission to the State Bar of California or eligibility for admission via reciprocity or in-house counsel registration.Skills:Exceptional legal drafting and negotiation skills.Strong analytical and problem-solving abilities.Excellent organizational and time management skills.Proficiency in legal research and writing.Ability to work both independently and as part of a team.High level of attention to detail.Proficiency with legal technology and software.
