The successful candidate will be responsible for advising legal and business teams through the entire transaction process, from deal inception to closing, ensuring compliance with legal and regulatory standards. The firm provides a competitive salary, merit-based bonuses, billable hour credits for pro bono work, and a hybrid remote work option for enhanced work-life balance.Duties and Responsibilities:Manage and advise on M&A transactions, including conducting due diligence, structuring deals, and drafting and negotiating key transaction documents such as purchase agreements, joint venture agreements, and shareholder agreements.Provide legal advice to clients in the energy sector, focusing on power, renewable energy, oil, and gas.Assist with project finance transactions, including structuring and negotiating financing agreements for energy projects.Collaborate with clients, opposing counsel, and internal teams to close transactions efficiently and effectively.Work on infrastructure development, construction contracts, and/or tax equity transactions.Conduct legal research on corporate and energy-related issues and provide strategic counsel on regulatory compliance and risk management.Draft and review corporate and project finance-related documentation with attention to detail.Represent clients in negotiations with opposing parties and ensure the alignment of business and legal objectives.Maintain strong professional relationships with clients and act as a trusted advisor, providing business-minded solutions to legal challenges.Stay current on industry trends and regulatory developments relevant to the energy and corporate sectors.Requirements:3-6 years of experience in corporate transactions, ideally within a sophisticated national law firm environment.Proven experience in M&A transactions and familiarity with energy sector matters, including power, renewable energy, oil, and gas.Experience with project finance, infrastructure development, construction contracts, and/or tax equity transactions is highly desirable.Strong drafting and negotiation skills, particularly in key transaction documents.Excellent interpersonal and oral communication skills, with the ability to interact effectively with legal and business teams.Ability to manage multiple projects simultaneously while maintaining high attention to detail and meeting deadlines.Education and Certifications:Juris Doctor (JD) from an accredited law school.Strong academic performance with a focus on corporate law and energy-related subjects.Licensed to practice law in Virginia, or eligibility to become licensed in Virginia, is preferred.Skills:Strong legal research, writing, and analytical skills.Proficiency in drafting complex corporate agreements and transaction-related documents.Excellent organizational and project management skills.Ability to work both independently and collaboratively in a team setting.Familiarity with regulatory and transactional issues in the energy industry.Strong client service skills and the ability to provide practical, business-focused legal solutions.Company infoBCG Attorney Search1629 K ST NW, Suite 300WashingtonDistrict of ColumbiaUnited States 20006Phone :
