Marathon is seeking an experienced attorney to support and work closely with Marathon's market leading private credit, asset-based investment team, working on site at our New York headquarters. The team focuses on investing and financing all types of assets, including commercial real estate, aircraft, ships, receivables, structured products and other asset classes. Title will be commensurate with experience.

Responsibilities

Primarily responsible to provide legal support for all aspects of Marathon's asset-based lending and investment platform, with a particular focus on commercial real estate and transportation assets (aircraft, ships, etc.); strong preference will be given to candidates that have the requisite experience to provide additional support for other asset-based strategiesReview, draft and negotiate documentation with respect to, and provide legal and structuring advice concerning, all asset-based investments and loans, including the formation and structuring of investments, and the review and/or preparation of joint venture and partnership agreements, loan documents, term sheets, non-disclosure agreements, engagement letters and other related documentationDirect involvement in, and primary legal support for, the negotiation and closing of warehouse and other back-leverage financing facilities, as well as the securitization of portfolio loans and assets.Provide meaningful legal support and guidance in connection with all asset management mattersDirect involvement in, and legal support for, all real estate loan workouts, restructurings, forbearances, foreclosures and portfolio related litigation mattersCoordinate and manage outside counsel, including management of legal costs; maintain relationships with outside counsel and oversee the internal approval of all legal counselQualifications

Mid-level attorney with 5-10 years' experience in relevant areas;

attorneys with significantly more or less experience will not be consideredJuris Doctor degree (or equivalent), and membership in good standing with the New York State bar (or ability to waive into the New York State bar)Progressive experience in transportation investment and finance and/or commercial real estate, ideally with in-house legal experience at a multi-strategy investment managerExperience with other secured asset-based finance areas is preferred, but not required.Familiar with all aspects of cross-border and international asset-based investment and finance transactions, including a familiarity with issues related to taxationDemonstrated ability to appropriately assess and manage legal and reputational risk, and demonstrate sound judgment in resolving such mattersAbility to thrive in a fast-paced, dynamic, and demanding open-office environmentAbility to prioritize efficiently and manage a complex, time sensitive workloadExcellent attention to detail and accuracyWillingness to learn new areas of law to cover other businesses and investment initiatives

The average salary for this role is $150,000 - $250,000 in base pay and is exclusive of any bonuses or benefits. The base pay offered will be determined based on your experience, skills, training, certifications and education, and in addition we will also consider internal equity and market data. We do not anticipate that candidates hired will begin at the top of the range however, from time to time, it may occur on a case-by-case basis.
