We Are Currently Looking For Our: Associate General Counsel What We Offer This individual will provide overall legal services for all company business activities, with a primary focus on the company’s real estate and development related transactional matters. The individual will provide assistance to the General Counsel and will supervise and assist other legal department team members. Scope Primary responsibilities shall include, without limitation: Drafting and negotiating contracts including letters of intent, leases (primarily complex leases with “big box” and “major” tenants often on non-standard company forms in complex regional or flagship retail and mixed-use development settings), subleases, amendments, assignments, temporary license agreements, marketing agreements, service contracts, management agreements and other legal documents. Assisting the development and leasing teams in tenant lease and other negotiations related to the design and development of retail and mixed-use projects (e.g., CCRs, REAs, development agreements and construction contracts). Must be able to identify and discuss legal and business issues (preferably in complex regional or flagship retail and mixed-use development settings) and assist the teams in resolving such issues in the best interest of the company. Managing and leading negotiations on other major real estate transactions, such as secured and unsecured debt transactions, acquisitions and dispositions and joint ventures. Providing advice to the leasing and development teams in the avoidance of legal disputes including client/tenant legal issues, tenant leases, insurance and risk management related matters, tenant defaults and other miscellaneous legal matters. Advising local property management staff on tenant operational/lease issues, landlord/tenant matters, collection activities, and other operational matters. Assisting in the preparation and negotiation of contractor/subcontractor agreements. Other responsibilities shall include, without limitation: Providing guidance and advice on legal aspects of leasing, acquisitions, dispositions, joint venture, property management, operations and other general real estate matters. Providing general transaction support to the tax and finance departments. Providing guidance and supervision to real estate and corporate paralegals on title and survey matters, and corporate housekeeping matters. Providing general transactional support to corporate and operational departments (e.g., marketing, management, procurement, IT, etc.) as necessary. Participating in the development and interpretation of company operating policies. Providing general legal services on other miscellaneous matters that may arise from time to time. Assist the General Counsel in maintaining corporate compliance procedures and records, ensure appropriate corporate approvals are received for leases, company transactions and various contracts. Coordinate and oversee outside counsel to the extent necessary. What We Are Looking For Member of the California State Bar in good standing. At least 14 years prior experience negotiating and drafting complex retail leases, CC&Rs/REAs, development agreements and other related documentation with, as applicable, “big box” and “major” tenants, preferably in complex regional or flagship retail and mixed-use development settings; and in managing and negotiating documents related to other major real estate transactions, such as secured and unsecured debt transactions, acquisitions and dispositions and joint ventures. Solid knowledge of real estate law and excellent reading, oral/written communication, negotiation and concise grammatical skills. Must be detail oriented with good organizational and analytical skills. Ability to manage and deliver multiple projects in a timely and accurate manner with strong initiative and follow through. Ability to (i) interact and communicate diplomatically and work well with others at all levels (especially at the senior executive level), (ii) anticipate issues, work collaboratively with cross functional teams, (iii) lead and/or participate in meetings to produce results, (iv) prioritize and manage resources efficiently including external advisors, and (v) problem-solve and are confident dealing with key internal and external stakeholders. Strong work ethic with a positive, can-do attitude and the ability to work in a fast paced, team-oriented and dynamic environment. “Big law firm” and in-house real estate experience required. Experience with REITs and/or retail companies preferred.
