The American Hospital Association (AHA) is a national organization that represents and serves all types of hospitals, health care networks, and their patients and communities. The AHA has two main offices, located in Washington, D.C. and Chicago. We are currently seeking Senior Counsel for our Chicago office. This position is a hybrid role (three days in the office, two days working remote).Starting base salary = $184,000 - $225,000 (commensurate with related experience).Position Purpose:The Senior Counsel focuses on commercial transactions and corporate law work. The person in this role drafts and negotiates a wide range of complex agreements including software development and licensing agreements, strategic alliance agreements, event-related agreements, and a variety of templates, and takes primary responsibility for creating efficiencies within the contracting life cycle. The person in this role provides strategic advice and counsel on a range of business-law issues and operational matters and works regularly with legal team colleagues in reinforcing compliance policies, providing trainings, adopting and maintaining good record-keeping practices, engaging in pre-litigation dispute resolution, and ensuring that business undertakings are consistent with AHA’s strategic plan and values. The role is in charge of all corporate maintenance, handles maintenance and upkeep of AHA’s trademark portfolio, and works with colleagues in the governance department addressing matters of nonprofit and for-profit corporate law. It will involve federal government contracting familiarity.Essential Functions:Review, negotiate, and draft agreements, including complex software development and licensing agreements, strategic alliances and event-related agreements such as speaker, sponsor and advertising agreements.Handle all corporate maintenance for AHA and its affiliates. Adopt and maintain good record-keeping practices.Support federal government contracts compliance efforts and address issues raised working with outside counsel as needed.Create efficiencies in the contracting life cycle, including but not limited to drafting and training on templates.Serve as a reliable legal and business advisor over various matters.Address matters relating to for profit and nonprofit law.Troubleshoot issues with staff and assist in finding and implementing effective legal solutions and monitor as needed.Collaborate with the Senior Compliance Officer, conduct trainings on data privacy, data security, attorney-client privilege, intellectual property issues.Handle maintenance and upkeep of AHA’s trademark portfolio and work with outside counsel as needed on trademark issues.Represent AHA effectively in pre-litigation dispute resolution.Represent AHA effectively internally and externally, including with outside counsel.Work collaboratively with colleagues across AHA to develop and support organization-wide initiatives and to advance AHA’s overall impact and AHA’s strategic plan.Support and improve AHA’s internal processes and systems and implement and communicate changes.Special projects and other duties as assigned.Knowledge Requirements:The position requires depth in commercial contracting and a broad knowledge of general corporate and business law and other areas of law typical for in-house counsel, such as data privacy, data security, insurance, intellectual property and risk counseling. Some knowledge of issues associated with federal government contracting preferred.Required Experience:Strong experience in complex commercial transactions and corporate law, including corporate maintenance. Strong background in record-keeping and contract management. Experience addressing a wide range of business law issues and basic intellectual property matters pertaining to copyrights and trademarks. Experience conducting trainings on legal and compliance issues. Law firm experience required. Experience in a top 40 AM Law firm strongly preferred. In-house experience helpful but not required. A background in healthcare law not required. Some experience with nonprofit law preferred but not required. Excellent organizational skills. Project management skills a plus.
