The VP of Corporate Development will work in partnership with other executive members of the Corporate Development team to lead all activities relating to enterprise and business strategic investments, partnerships, M&A, and related activity.Description of the roleThought, strategy and organizational leadershipDrive all aspects of the enterprise corporate development process from start to finishScope of corporate development will be broad and include mergers & acquisitions, divestitures, minority stakes, strategic partnerships, reinsurance structures, capital management, and other financial or strategic transactionsPartner with businesses and executive management to develop enterprise and business corporate development strategy that is aligned with strategic prioritiesDevelop and enhance internal capabilities to execute corporate development and M&A initiatives, including working with stakeholders to design processes, identify resources, lead training, and produce appropriate playbooksDevelop and expand the opportunity set based on a focused strategyLead fundamental research, data gathering and analysis of sectors, products, and businesses in support of the strategy and corporate development processIdentify, source and develop relationships with potential targets and strategic partnersBe an effective advocate for NYL as a strategic partnerManage relationships with banks, other advisors, and potential counterpartiesLead transaction executionLead all aspects of deal execution including project planning and management, stakeholder coordination, governance and approvals, due diligence, etc.Develop project timeline and workflowEstablish alignment and collaboration with multiple constituentsLead all communications, development of supporting materials, and discussions with senior management and support Board of Director communications on corporate development mattersLead teams in due diligence including working with business units and enterprise functionsLead development and review of financial models and analysesAnalyze and draw insights from GAAP and statutory financial statements and analysesLead valuation work and review of actuarial and other third party appraisalsLead structuring of transaction fundingLead analysis of transaction impact on the enterprise financial and capital position and determine pro forma metricsLead negotiations and development of all transaction terms and contractsOversee a project management office and other stakeholders in integration planning and results measurementQualificationsExtensive life insurance industry experienceBachelor’s Degree, MBA preferred5+ years investment banking experience at VP level or above plus 3+ years of life insurance corporate development experience in a leadership role, or 6+ years of life insurance corporate development experience in a leadership roleProactive and collaborative team playerStrong ability to influence without direct authorityHighly motivatedRapidly adapt to changing situationsAble to make decisions and drive strategy in ambiguous situationsEffectively manage large complex projects and teamsAbility to drive multiple prioritiesStrong financial and analytical skillsPay TransparencySalary Range: $250,000 to $300,000Discretionary bonus eligible: YesActual base salary will be determined based on several factors but not limited to individual’s experience, skills, qualifications, and job location. Additionally, employees are eligible for an annual discretionary bonus.
