A law firm seeks an experienced associate attorney to join its prestigious Public Companies practice in Boston. This position offers a unique opportunity for a highly skilled attorney with 5+ years of experience in corporate governance, SEC compliance, and public company reporting. The ideal candidate will have a proven ability to manage sophisticated client relationships, handle complex legal issues, and advise clients on a range of matters related to public companies. Duties:
Advise public companies on corporate governance, SEC reporting, disclosure requirements, and compliance.
Represent clients in various capital markets transactions, ensuring legal compliance and strategic positioning.
Manage client relationships, including handling the day-to-day legal demands of clients with complex needs.
Provide expert legal counsel on a variety of public company matters, including mergers, acquisitions, and corporate restructuring.
Prepare and review key regulatory filings, including annual and quarterly reports, proxy statements, and other SEC-required documents.
Collaborate with senior partners and other practice areas to support clients in achieving business objectives.
Stay current with developments in securities laws and corporate governance to provide proactive legal guidance.
Requirements:
Minimum of 5 years of experience advising public companies on corporate governance, SEC reporting, and compliance.
Experience in representing companies in capital markets transactions.
Demonstrated ability to manage client relationships and handle multiple complex matters simultaneously.
Strong communication and negotiation skills with a client-focused approach.
Ability to work independently and as part of a collaborative team.
High level of academic achievement from a nationally recognized law school.
Strong analytical and problem-solving abilities.
Education:
Juris Doctor (JD) degree from an accredited law school.
Certifications:
Admission to the bar in Massachusetts (or eligibility for admission).

SEC Compliance : Proficiency in SEC and exchange reporting, compliance, and disclosure requirements.
