Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for a Paralegal specializing in global legal entity management and corporate governance. Overview : Our client is seeking a paralegal to provide support for global legal entity management and corporate governance matters. Company: Our client is a publicly traded medical device, equipment, and manufacturing company. Experience: Successful candidates will be able to operate independently and reflect the responsibilities below. Location: Hybrid: on-site 3 days/ week in Salt Lake City, UT. Responsibilities Include: This Paralegal is primarily responsible for providing support for global legal entity management and corporate governance matters and monitoring related global rules and regulations. In addition, the paralegal may be requested to provide assistance with contracts, M&A, and other activities as assigned. Assist team members with corporate governance matters, including board and committee meetings, annual meeting of stockholders, annual reports, and regulatory filings Assist in the preparation of materials for corporate board and committee meetings and online annual assessments. Maintain the process and technology for how global legal entities are managed Work closely with Legal, Accounting and Tax to ensure that legal and regulatory requirements relating to global subsidiaries and joint ventures are met Manage and provide support for legal entity governance, including entity establishment, maintenance, changes, and dissolution, and ensuring that annual or periodic filings are completed For entities worldwide, maintain corporate records, including minute books, board resolutions, and other corporate documents, ensuring compliance with legal and regulatory requirements Coordinate and schedule meetings, conference calls, and other events related to corporate governance and compliance activities Assist in the drafting, review, and execution of contracts, agreements, and other legal documents as needed Assist in the management of corporate administrative functions, including drafting and filing of corporate documents, managing signatures, and maintaining corporate databases Qualifications Include: Bachelors degree (or equivalent experience) 5 years of entity management experience Ability to work on-site in the SLC office 3 days/week Familiarity with the client’s current technology platforms and tools is preferred: Familiarity with and use of board management and online D&O questionnaire platforms such as Nasdaq BoardVantage. Familiarity with and use of cloud-based document retention and collaboration platforms such as SharePoint, OneDrive, and MS Teams. Familiarity with and use of subsidiary entity management platforms such as CSC and Diligent Entities.
