Corporate Counsel

This is a hybrid role with 3 days onsite 2 days remote in either Knoxville TN or Atlanta, GA The Corporate Counsel will work with the legal team and business leaders to provide advice on contract negotiations, business matters, and potential litigation. The Corporate Counsel will collaborate with department managers to draft legal documents and review contracts to ensure they meet all regulatory guidelines. When necessary, they will coordinate with outside counsel. Key Responsibilities Structure, draft and negotiate simple to complex transactional agreements, including commercial contracts, master service agreements, licensing agreements and leases, as well as customer, partner, and supplier contracts. Structure, draft and review reports and other legal documents. Review internal documents, such as website terms and conditions, privacy policies, HR documents and business operations materials Research, anticipate and protect company against applicable legal risks. Develop company policy and position on legal issues. Coordinate with outside counsel to assure they represent the company’s best interest. Support Chief Compliance and Ethics Officer and assist managing the organization’s compliance function to develop, disseminate, train and administer legal policies and procedures to enforce compliance with all applicable laws, regulations and rules, including data privacy and security, sanctions, cybersecurity, and corporate conduct. Advise company personnel, inside and outside the legal department, on various issues pertaining to strategic initiatives and transactions. Analyze the probable outcomes of issues, using knowledge of legal experience and precedents. Advise clients concerning business transactions, claim liability, advisability of prosecuting or defending lawsuits, or legal rights and obligations. Prepare, proofread, or process legal documents, such as summonses, subpoenas, complaints, appeals, motions, or pretrial agreements. Review complaints, petitions, motions, or pleadings that have been filed to determine issues involved or basis for relief. Education & Experience Requirements Bachelor's degree and Juris Doctor (JD) from accredited law school with excellent academic credentials are required. Licensed to practice in at least one jurisdiction. Ability to waive in as in-house counsel in the State of Tennessee. At least 3-5 years’ relevant experience in a mix of a top law firm and in an in-house legal group. Excellent interpersonal, written and oral communication skills, including ability to work collaboratively and effectively with business clients and other legal department members. Excellent analytical and negotiating skills. Excellent organizational and interpersonal skills, with ability to be flexible and adapt to frequently changing workload and responsibilities. Acute attention to detail. Ability to multi-task. Strong project management skills, well organized, with the ability to thrive in a fast-paced work environment and manage numerous projects simultaneously under deadline pressure. Must have initiative, be able to act decisively, work independently and exercise good judgment.
