POSITION SUMMARY Reporting to the Chief Legal Officer, the Corporate Paralegal will have a strong understanding of corporate governance, associated knowledge management, and strong cross-functional skills to collaborate across teams and departments. This position will also provide transaction support related to M&A, joint venture, and venture capital investment activities. As the nucleus of a growing team, the Corporate Paralegal will have direct interaction with executive management, and necessarily contribute to a broad range of projects across a diverse organization and master new areas of expertise. SUCCESS LOOKS LIKE: Internal stakeholders understand the status of their matters because the Paralegal is able to effectively project manage and escalate highest priority initiatives to the CLO Fostering sound mid-level decision-making, cross-functional solutions throughout the organization Persisting through obstacles, using a blend of ingenuity and technology to consistently deliver high-quality work product that meets and exceeds expectations OBJECTIVES Provide comprehensive support for mergers and acquisitions, joint ventures, and venture capital transactions, including preparing and organizing closing documents and binders, and tracking post-execution requirements. Support corporate governance efforts for a growing portfolio of U.S. and international entities by drafting and maintaining organizational documents (e.g., resolutions, consents, delegations, company org charts, and inter-company agreements). Utilize Thomson Reuters CLM to oversee NDAs, client contracts, and other standard agreements from pre-approved templates, ensuring compliance with internal approvals and delegations of authority, and maintaining accurate, up-to-date records accessible to the legal team. Manage the overall flow of legal documentation by answering queries on contract review and signing authority, and by streamlining contract lifecycle processes. Collaborate with cross-functional teams to align legal requirements with business objectives, enabling efficient project execution.
