Key Responsibilities: 1.Legal Strategy & Advisory : Provide proactive and strategic legal advice to the CEO, executive team, and board of directors. Develop legal strategies to support business objectives and reduce potential legal risks. Represent the company in legal negotiations and disputes. 2.Corporate Governance : Oversee corporate governance, ensuring that the organization complies with all corporate laws, bylaws, and regulatory requirements. Advise the board on legal and governance matters, including fiduciary duties, board operations, and compliance. Ensure accurate and timely filing of corporate documents and compliance with securities regulations if applicable. 3.Compliance & Risk Management : Ensure the organization is in full compliance with federal, state, and local laws, regulations, and industry standards. Lead compliance efforts in areas such as data privacy, labor laws, intellectual property, and environmental regulations. Identify and manage legal risks, mitigating exposure to lawsuits, regulatory fines, and other potential legal liabilities. 4.Contract Management : Review, draft, and negotiate key business contracts, including client agreements, vendor contracts, partnership agreements, and licensing deals. Advise departments on contractual obligations and dispute resolution. Ensure contracts are legally sound and aligned with organizational goals. 5.Litigation & Dispute Resolution : Manage all aspects of the company’s litigation, including working with external counsel. Lead the defense and settlement strategies for lawsuits, arbitration, or other legal disputes. Minimize the organization’s exposure to litigation through effective risk management strategies. 6.Intellectual Property : Oversee the organization’s intellectual property portfolio, including patents, trademarks, copyrights, and trade secrets. Ensure the protection and enforcement of the company’s intellectual property rights. Advise on licensing agreements, IP transactions, and infringement issues. 7.Employment Law & Labor Relations : Provide guidance on employee relations, labor law, discrimination, harassment claims, workplace safety, and other employment-related issues. Assist with drafting employee contracts, policies, and compliance with employment regulations. Represent the company in labor disputes and employee grievances. 8.Legal Team Leadership : Lead, manage, and mentor the in-house legal department or team. Coordinate the work of external legal counsel and manage legal costs effectively. Build and foster a culture of legal compliance throughout the organization. 9.Education & Training : Provide legal training to employees on compliance, ethics, and company policies. Stay current on changes in laws and regulations affecting the business and communicate updates to relevant teams. Qualifications: Education : Juris Doctor (JD) degree from an accredited law school. Licensed to practice law in the relevant jurisdiction(s). Experience : Experience in corporate law, governance, litigation, contract negotiation, and compliance. Experience in managing external legal counsel and cross-functional teams. Skills : Excellent legal research, writing, and analytical skills. Strong negotiation and communication skills. In-depth understanding of business operations and legal aspects of managing a company. Proven ability to manage multiple complex legal issues simultaneously. Ability to work with senior management and stakeholders in decision-making processes. Personal Attributes: High level of integrity and sound judgment.
