Advise clients on mergers and acquisitions, including asset and stock transactions, due diligence, and negotiation processes.Handle debt and equity financings, including venture capital, convertible debt, and bank financings.Ensure compliance with securities laws, focusing on private offerings and related regulatory requirements.Provide legal guidance on entity formation and corporate governance matters.Draft, review, and negotiate commercial contracts and corporate legal documents.Collaborate with clients and internal legal teams to provide high-quality, strategic legal services.Requirements:
Juris Doctor (JD) degree and active license to practice law in Massachusetts and/or New Hampshire.Minimum of 3 years of relevant experience in a corporate legal practice, including mergers and acquisitions, venture capital financing, and private offerings.Strong knowledge of corporate transactions, securities laws, and commercial contracting.Excellent communication and interpersonal skills for managing client relationships.Ability to work effectively in a team-oriented environment and independently when required.Education:
Juris Doctor (JD) from an accredited law school.Certifications:
Licensed to practice law in Massachusetts and/or New Hampshire.Skills:
