Scope of Responsibilities:
- Draft due diligence checklists.
- Manage checklists, due diligence with third parties, and closing calls.
- Manage virtual data rooms.
- Review and comment on title and survey and coordinate with title companies and surveyors.
- Draft purchase and sale agreements and leases.
- Draft loan agreements, promissory notes, security agreements, mortgages/deeds of trusts, and other ancillary loan documents.
- Draft or review organizational documents, such as articles of organization, operating agreements, and qualification documents.
- Draft or review shareholder and board consents.
- Draft or review officer's certificates.
- Conduct and review UCC judgment and lien searches at federal, state, and county levels.
- Organize, distribute, and compile all signature pages for closings.
- Interface directly with client and other business parties to coordinate due diligence, closing and funding.
- Manage and oversee the preparation and distribution of closing binders and other post-closing deliverables.
- Assist attorneys with other various tasks and assignments.
- Supervise work of and provide training/mentoring to Paralegal and Paralegal Assistant.
- Significant client management experience.
- Exercise significant independent judgment and discretion in management of client team activities.
- Exercise independent judgment in the efficient and cost effective use of practice support, databases and other technology.
- Exhibit initiative to stay informed of developments in paralegal industry and going above and beyond to ensure growth of Paralegals by sharing such information informally or in the context of firm-sponsored CLEs and other in-house training efforts.
- Meet billable hour requirement of 1600 hours per year.
- Minimum of 7-10 years relevant experience.
- Paralegal Certificate from ABA approved program for legal assistants or graduation from an institutionally accredited program that is not ABA approved, but which requires not less than the equivalent of 60 semester hours of classroom study and three years or more of in-house training comparable to the type of training a paralegal would receive at the Firm.
- Associate's degree from ABA approved program or study for legal assistants and two years or more of comparable training.
- Bachelor's degree or advanced degree in any field and one year or more of comparable training.
- Significant, substantive legal related experience may be considered in lieu of formal education at the discretion of the SBU Leader.
- Ability to work well under pressure, multi-task efficiently and be independent thinker.
- Ability to interact effectively and professionally and provide exceptional service, internally and externally, at all times.
- Highly organized, able to prioritize workflow and manage projects.
- Ability to perform effectively with little or no supervision and within established time limits and on-going deadlines.
