Summary

The Corporate Counsel is responsible for managing all legal affairs of the company.

The Corporate Counsel reports to the CFO and ensures that the company adheres to the law. This position oversees all legal aspects of the business and safeguards the company's reputation by guaranteeing that the company strictly follows law guidelines and gives legal advice to management on all relevant issues.

This role is viewed by leaders as an enabler of the business while always remaining legally compliant and working under Alta's Guiding Principles.

Essential Duties & Responsibility

Other duties may be assigned.
  • Manage legal budget/P&L inclusive of outside legal counsel.
  • Corporate Governance oversight of all corporate entities in corporate legal entity structure.
  • Give accurate and timely counsel to executives in a variety of legal topics (contract drafting and negotiations, labor law, partnerships, international ventures, corporate finance etc.)
  • Collaborate with management to devise efficient defense strategies
  • Research and evaluate different risk factors regarding business decisions and operations
  • Apply effective risk management techniques and offer proactive advice on possible legal issues
  • Communicate and negotiate with external parties (regulators, external counsel, public authority etc.), creating relations of trust
  • Draft and solidify agreements, contracts and other legal documents to ensure the company's full legal rights
  • Deal with complex matters with multiple stakeholders and forces
  • Provide clarification on legal language or specifications to everyone in the organization
  • Conduct your work with integrity and responsibility
  • Maintain current knowledge of alterations in legislation
  • Participates in litigation of cases, insured & uninsured matters.
  • Develops, initiate, maintain and revise appropriate policies and procedures.
  • Mergers & Acquisitions.
  • Manage intellectual property portfolio.
  • Regulatory compliance under all global data privacy laws and other global regulations governing the sectors
  • Support Human Resources with Labor & Employment law advisement.
  • Participate in the development, implementation and ongoing monitoring of all client contracts to ensure all compliance and privacy concerns, requirements and responsibilities are addressed.
  • Draft, review and approve all contracts; including customer, vendor and real property leases.
  • Regular attendance, punctuality and adherence to agreed-upon schedule of availability are conditions of employment and essential function of this position.

Supervises and carries out leadership responsibilities in accordance with the organization's policies and applicable laws.

  • Proven experience as a Legal Counsel in business environment or at law firm in corporate section
  • Excellent knowledge and understanding of corporate law and procedures
  • Full comprehension of the influences of the external environment of a corporation
  • Demonstrated ability to create legal defensive or proactive strategies
  • High degree of professional ethics and integrity
  • Sound judgement and ability to analyze situations and information
  • Strong interpersonal skills necessary to oversee and direct the work of others, establish and maintain collaborative working relationships and deal effectively and persuasively with a variety of internal and external contacts.
  • Advanced analytical abilities necessary to collect and analyze data from multiple sources, conduct investigations, and resolve compliance issues.
  • Ability to plan and manage operations and activities for areas of responsibility.
  • Demonstrate sound business judgment and embodies Alta's Guiding Principles.
  • Demonstrate understanding of effective Corporate Compliance & Privacy programs.
  • Maintain a high degree of credibility, independence, integrity, confidentiality and trust


EDUCATION and/or EXPERIENCE
  • Bachelor's Degree from an accredited college or university is required.
  • Master of Arts or BS in Business Administration will be considered an advantage.
  • Juris Doctorate and Licensed Attorney required.
  • 3+ years' experience in a corporate legal services or law firm experience in transactional expertise is required.
