In certain jurisdictions, CBIZ CPAs operates under its previous name, Mayer Hoffman McCann P.C.Essential Functions and Primary DutiesWorking directly with team members across our organization and our clients to develop comprehensive solutions to complex transactional challenges as well as post-merger planning opportunities. Leveraging tax technical knowledge to lead engagement teams in performing buy- and sell-side due diligence and developing tax-efficient acquisition and divestiture structuresConducting, developing, overseeing and reviewing tax due diligence, tax structuring and tax modeling workstreams including but not limited to identification and mitigation of relevant historical and projected tax risks, tax-advantage structuring, optimizing and preserving valuable tax attributes, mitigating tax costs related to cancellation of indebtedness income and worthless stock deduction analysis, conducting Section 382 and transaction cost analysesManaging the resolution of technical tax issues dealing with consolidated returns, S Corporations, partnerships, and limited liability companiesIdentifying and analyzing tax risks and opportunities while advising both strategic and private equity buyers and sellers on alternative tax strategies for the acquisition, disposition, and restructuring of businessesLead the comprehensive review and analysis of all legal documents related to M&A transactions, including but not limited to, purchase agreements, contracts, and financial arrangements. This involves a detailed examination of terms and conditions, representations and warranties, indemnities, and other clauses to identify tax obligations, risks, and opportunities. Recognize opportunities to grow and expand our tax services. This includes recommendations to expand the scope to dig deeper into key risks identified during the course of diligence, structuring support, and post-close support related to tax issue remediation and ongoing compliance.Work collaboratively with TAS leadership, PEA sponsor coverage, and practice area leaders to support new client pitches and contribute in a way that more fully credentials our capabilities – with an equivalent level of confidence and thoughtfulness that with which we sell our solutions.Support the development of cross-functional marketing materials.Expanding tax research skills through deep exploration of complex technical tax issues across a broad spectrum of tax lawTeaching, guiding, and coaching team members across our organizationWorking within our current deliverable framework to support conclusions and highlight key risksCreating tax financial analysis modelsMaximizing client relationships by introducing value-enhancing ideas and strategies, then bringing the right specialty tax teams to serve in new ways.Leveraging personal networks in the business community and across Private Equity channels to identify new sales and service opportunities.  Contributing to marketing and business development effortsSupporting practice development initiativesPreferred Qualifications12+ years of tax advisory experience or a combination of audit, tax, and financial due diligence experience with a top tier firmBachelor’s degree in accounting CPA, Masters in Taxation or JD/LLMStrong desire to be a part of and contribute to the growth of a high performing client focused teamKnowledge of a broad range of corporate tax matters in various industriesBe well-versed in what is required to deliver at a high-level to private equity, with a demonstrated track record of working with these types of clients.Have a consulting mindset and approach to client interaction and expectations. Recognize that we are most effective when we become an extension of our clients’ teams.Proven ability to articulate complex information when providing crucial negotiation insightsTechnically competent across multiple US federal, international, and state income tax disciplinesFundamental working knowledge of all or essentially all non-income based federal, state, and foreign tax regimes, including but not limited to indirect, payroll, property and ad valorem taxesUnderstanding of US GAAP, including the ASC 740 accounting for income tax principlesExperience with federal tax controversy, practice, and procedure mattersHigh degree of maturity with a proven ability to interact with senior executives, private equity firms, lenders, lawyers, and management teams  Experience leading other professionals and acting in a manner that motivates, inspires, and develops junior team membersProven leader in the delivery of high-quality work that exceeds client expectationsExcellent written and verbal communication skills, including strong email etiquette Eagerness to be responsive at all timesProven track-record of success in high pressure, time-constrained environmentsTop-tier organizational skills and attention to detailSelf-starter and entrepreneurial natureMinimum Qualifications RequiredBachelor’s degree required; Master’s degree preferred in Accounting, Taxation or related field preferred10 years of experience in public accounting or related field10 years supervisory experienceMust have active CPA or equivalent certificationAbility to manage deadlines, work on multiple assignments and prioritize each assignment as necessaryProficient use of applicable technologyDemonstrated ability to communicate verbally and in writing throughout all levels of organization, both internally and externallyProven high level of business integrity, client service and leadership skillsMust be able to travel based on client and business needs The annual salary target for this job in this market is $300,000-$550,000.
