Senior Paralegal- Real Estate/Contracts

Job Purpose: The Senior Paralegal is responsible for providing legal support to the General Counsel and legal department for all documents and matters related to acquisitions, dispositions, joint ventures, leasing, financing, corporate and legal compliance, litigation support, and other operational matters. Provides high level of legal support for real estate due diligence and transactions for various operating businesses.
Essential Job Functions:
Bachelor's degree (a certificate program in paralegal studies is preferred but not required)
Seven to ten (7-10) years' experience as a paralegal
Experience in commercial real estate transactions (multifamily or development experience a plus)
Experience in corporate governance and compliance (SEC filing experience not required)
Understanding of legal language and principles, research methods and other related matters
Proficient with Microsoft Office Suite, expertise in Word, Excel, Power Point, Smart Sheet, Share Point and DocuSign.
Proficient with Westlaw
Outstanding transaction coordination/project management skills
Experience in contract review and issue spotting
Analytical and critical thinking skills
Confidentiality, and ability to exercise discretion and good judgement
High level of accuracy and attention to detail
Proactive in identifying potential issues and anticipating legal needs
Familiarity with any of the Fair Housing Act, Americans with Disabilities Act, HIPAA, or data privacy a plus but not required

Essential Job Functions:
- Review, markup and/or draft various commercial contracts and real estate documents, including non-disclosure and confidentiality agreements, engagement letters for brokers and vendors, property management agreements, subordination, non-disturbance and attornment agreements, owner's affidavits, landlord lien waivers, leases and lease assignments, equipment leases, and SaaS terms and conditions.
- Prepare and maintain corporate books and records, licensure, foreign qualifications, corporate formation, organizational and governing documents, resolutions and minutes for board of directors, shareholder meetings and actions.
- Monitor and file annual reports, compliance filings; assist with Corporate Transparency Act compliance; obtain EINs, LEIs, business licenses and DBAs
- Oversee contract lifecycle management using online contract management software
- Coordinate due diligence with GC and acquisitions and development teams
- Track deadlines for all deals utilizing Smart Sheet software and provide document support
- Coordinate transaction closings for all real estate and corporate transactions, including execution and delivery of closing documents and review of settlement statement
- Maintain closing binders following all transactions; organize digital files
- Develop post-closing legal compliance lists for property/JV operations and track the same to ensure compliance
- Assist with tracking invoices, engagement letters and legal correspondence
- Research and analyze applicable statutes, regulations, legal articles, judicial decisions and other legal documents as requested by GC
- Assist in discovery and document production in litigation matters, including coordinating between claims adjusters and property-level staff to investigate matters
- Track litigation deadlines and court dates
- Support Human Resources in employee related legal matters
