A law firm seeks a highly qualified attorney to join its dynamic energy and infrastructure team. This role focuses on project finance, mergers and acquisitions (M&A), and developing large-scale energy and infrastructure projects. Duties
Collaborate on financing, M&A, and development transactions involving large renewable and conventional power and energy projects. Draft, review, and negotiate credit and security agreements, purchase and sale agreements, merger contracts, and power purchase agreements. Lead transaction closings, ensuring all documentation and processes are executed effectively. Provide legal expertise on project contracts, including supply, offtake, and ancillary agreements. Offer strategic counsel for projects across various sectors, including wind, solar, natural gas, hydrogen, carbon capture, battery storage, renewable natural gas, and data centers. Coordinate with clients, sponsors, and multidisciplinary teams to drive project success. Requirements
Minimum of 6 years of experience in project finance, M&A, or energy and infrastructure development, ideally gained in a top-tier national or international law firm. Demonstrated ability to manage complex transactions, including document negotiation and transaction closings. Expertise in renewable and conventional power industries, with knowledge spanning multiple energy technologies and project types. Strong background in drafting and negotiating key project agreements, particularly power purchase agreements and related contracts. Education
Juris Doctor (JD) degree from an accredited law school. Active membership in good standing with the State Bar of California or eligibility to become a member. Skills
Exceptional negotiation and drafting skills with a focus on precision and attention to detail. Proven ability to lead complex legal transactions and manage competing priorities effectively. Strong analytical and problem-solving abilities with a proactive approach to identifying and addressing legal challenges. Excellent communication and interpersonal skills, with the ability to collaborate across diverse teams and stakeholders.
