Function
The CLO provides comprehensive execution of the legal and risk management strategy for the firm.
Description
The CLO is responsible for managing legal matters, minimizing risk, and administering systems and relationships necessary to protect the interests of the firm. They shall ensure that the CEO is provided with timely advice and counsel on regulatory and compliance concerns, litigation risk, corporate governance, preventative risk management programs and any general business concern that may reasonably affect the performance or interests of the firm or its subsidiaries.
Responsibilities
Included but not limited to, and either independently or in collaboration with CEO and other advisors, boards or company leaders as appropriate:
Corporate Governance
Establish and maintain controls, processes, procedures and rules within all business lines. Implementation of any policies internal or external. Assist CEO with management of any Boards as may exist. Serve as the Corporate Secretary where appropriate and maintain or track all filings and licenses.
- Risk Management & Minimization:
Provide direct leadership, oversight and support on all legal matters. Effectuate processes for de-escalation, communication, and quick resolution wherever possible. Review business efforts for potential risk. Liaison and Leadership:
Exhibit at all times, complete mastery of company policy and strategy internally and externally. Act as the primary point of contact for all law firm relationships.
Operational Advise and work on employment and human resources policies and efforts. Keep detailed track of efforts and opportunities for growth and development.
Expectation
It is expected the CLO provides first rate legal management for the firm, advice and counsel to the CEO, such that the leadership collectively can execute on the growth strategy of the company. The CFO shall uphold the highest standards of professionalism, leadership, integrity, work product, and industry knowledge at all times.
