A law firm in Portland, OR, is seeking a highly qualified Corporate Funds and Private Equity Associate Attorney with 4-6 years of experience in investment funds and investment management. The ideal candidate will have substantial experience representing private equity sponsors and/or agents in a diverse range of transactions. Duties and Responsibilities:
- Advise clients on legal matters related to investment funds, including private equity, venture capital, and hedge funds.
- Represent private equity sponsors and agents in transactions involving fund formation, capital raising, and investment structuring.
- Draft, review, and negotiate key legal documents such as partnership agreements, subscription agreements, and fund offering memoranda.
- Conduct comprehensive legal research and prepare detailed reports, memoranda, and other legal documents.
- Assist in structuring and negotiating complex investment transactions, including mergers, acquisitions, joint ventures, and strategic investments.
- Ensure compliance with federal and state securities laws and regulations affecting investment funds and private equity.
- Collaborate with clients, partners, and colleagues to develop and implement effective legal strategies.
- Stay updated on legal and regulatory developments in investment funds and private equity.
Requirements:
- 4-6 years of experience in investment funds and investment management.
- Proven experience in representing private equity sponsors and/or agents in a broad range of transactions.
- Ability to handle complex legal issues related to investment funds and private equity.
- Creative, solutions-oriented approach with strong analytical and problem-solving skills.
- Excellent writing and communication skills.
Education:
- Juris Doctor (JD) from an accredited law school.
Certifications:
- Licensed and in good standing to practice law in Oregon.
