Job Overview: On behalf of a top-tier law firm, we are conducting a national search for Corporate Associates with a minimum of three years of relevant experience to join a thriving Corporate & Financial Services Department. This role provides a platform for early responsibility and offers significant exposure to corporate transactions, including private equity, mergers & acquisitions (M&A), and capital markets transactions. The position is available in various office locations, offering a dynamic environment and close collaboration with partners and clients across multiple industries.

Duties:

  1. Lead due diligence efforts and manage all related processes.
  2. Draft and negotiate acquisition agreements and other ancillary transaction documents.
  3. Oversee and facilitate the closing of corporate transactions.
  4. Provide counsel on a wide range of corporate matters, including private equity, M&A, and capital markets transactions.
  5. Collaborate closely with partners and clients, taking responsibility for key aspects of transactions.
  6. Work across a variety of industries, applying strong analytical and negotiation skills.

Requirements:

  1. Minimum of 3+ years of experience in corporate law.
  2. Proven experience in private equity, M&A, and capital markets transactions.
  3. Expertise in supervising due diligence, drafting acquisition agreements, and managing transaction closings.
  4. Strong analytical and problem-solving skills, with a desire to take on significant responsibility.

Education:

  1. Juris Doctor (JD) degree from an accredited law school.
  2. Strong academic credentials.

Certifications:

  1. Active membership in the state bar of the office location applied for.

Skills:

  1. Strong legal drafting, negotiation, and communication skills.
  2. Ability to manage complex corporate transactions independently.
  3. Effective at working collaboratively within a team environment.
  4. Strong organizational and project management skills.
