Job Overview:
On behalf of a top-tier law firm, we are conducting a national search for Corporate Associates with a minimum of three years of relevant experience to join a thriving Corporate & Financial Services Department. This role provides a platform for early responsibility and offers significant exposure to corporate transactions, including private equity, mergers & acquisitions (M&A), and capital markets transactions. The position is available in various office locations, offering a dynamic environment and close collaboration with partners and clients across multiple industries.
Duties:
- Lead due diligence efforts and manage all related processes.
- Draft and negotiate acquisition agreements and other ancillary transaction documents.
- Oversee and facilitate the closing of corporate transactions.
- Provide counsel on a wide range of corporate matters, including private equity, M&A, and capital markets transactions.
- Collaborate closely with partners and clients, taking responsibility for key aspects of transactions.
- Work across a variety of industries, applying strong analytical and negotiation skills.
Requirements:
- Minimum of 3+ years of experience in corporate law.
- Proven experience in private equity, M&A, and capital markets transactions.
- Expertise in supervising due diligence, drafting acquisition agreements, and managing transaction closings.
- Strong analytical and problem-solving skills, with a desire to take on significant responsibility.
Education:
- Juris Doctor (JD) degree from an accredited law school.
- Strong academic credentials.
Certifications:
- Active membership in the state bar of the office location applied for.
Skills:
- Strong legal drafting, negotiation, and communication skills.
- Ability to manage complex corporate transactions independently.
