Represent private equity sponsors and agents in a wide range of transactions, including fund formation, capital raising, and investment structuring. Draft and negotiate complex fund formation documents, including limited partnership agreements, subscription agreements, and offering memoranda. Conduct thorough legal research and prepare detailed memoranda, reports, and correspondence. Assist in the structuring and negotiation of investment transactions, including joint ventures, mergers and acquisitions, and other strategic investments. Provide guidance on compliance with securities laws and regulations affecting investment funds and private equity transactions. Collaborate with other attorneys and legal professionals to develop and implement effective legal strategies for clients. Stay updated on developments in investment fund law, private equity trends, and regulatory changes to provide informed and relevant advice. Requirements: 4-6 years of experience in investment funds and investment management. Substantive experience representing private equity sponsors and/or agents in various transactions. Demonstrated ability to handle complex legal issues and transactions related to investment funds and private equity. Strong analytical and problem-solving skills with a creative, solutions-oriented approach. Excellent writing and communication skills. Education: Juris Doctor (JD) from an accredited law school. Certifications: Licensed and in good standing to practice law in the state of New York. Skills: Expertise in investment funds and private equity law. Advanced drafting and negotiation skills. Strong analytical abilities and attention to detail. Proficiency with legal research tools and case management software. Excellent oral and written communication skills.
