A law firm is seeking a Mid/Senior-Level Public Mergers and Acquisitions Associate Attorney with 3-6 years of experience to join their team in San Francisco, CA. The ideal candidate will have a strong background in mergers and acquisitions and transactional law, particularly emphasizing public company transactions and related securities laws. Job Duties:

Represent clients in mergers and acquisitions transactions involving public companies on both the sell-side and buy-side. Draft, review, and negotiate transactional documents, including merger agreements, asset purchase agreements, stock purchase agreements, and related documents. Advise clients on securities law compliance, including disclosure requirements and corporate governance issues. Conduct due diligence investigations and prepare due diligence reports. Assist in structuring and negotiating transactions, including preparing shareholder and board resolutions. Collaborate with other attorneys and support staff to provide comprehensive legal services to clients. Keep up to date with developments in mergers and acquisitions law and related areas. Requirements:

3-6 years of experience in mergers and acquisitions and transactional law. Experience with public company transactions, both on the sell-side and buy-side. Strong understanding of related securities laws. Outstanding academic credentials. Comparable law firm experience. Excellent written and verbal communication skills. Relevant CA Bar admission or eligibility to obtain admission promptly. Education:

Juris Doctor (JD) degree from an accredited law school. Certifications:

Admission to the California State Bar or eligibility to promptly obtain admission. Skills:

Strong analytical and problem-solving skills. Excellent negotiation and drafting skills. Ability to manage multiple projects and deadlines.
