Corporate Transactional Attorney An esteemed law firm in the heart of Austin is seeking a seasoned Corporate Transactional Attorney to enrich their dynamic team. Salary:

DOE per year Essential Duties and Responsibilities: Draft, review, and negotiate a variety of corporate documents including M&A agreements, asset and stock purchase agreements, and partnership agreements. Advise on entity governance, handling formation, organization, and operational structures, ensuring compliance with governance principles. Perform thorough due diligence for transactions, identifying key legal and business risks. Provide legal and regulatory guidance on securities law compliance, employment, and business-related issues. Work closely with multidisciplinary teams to facilitate and close transactions. Stay current with legal developments, advising the team and clients on potential impacts and strategies. Represent clients effectively in negotiations and strategic meetings with various stakeholders. Mentor and manage junior attorneys and legal support teams. Handle relocation inquiries and assist candidates from different regions in settling into the new role comfortably. Minimum Position Qualifications: Juris Doctor from an accredited law school. Licensed and in good standing with the State Bar of Texas. At least four years of experience in corporate and business law with a transactional focus. Deep knowledge of securities regulations and business entity laws. Exceptional drafting, negotiation, and verbal communication skills. Proven ability to operate both independently and as part of a team in a fast-paced environment. Detailed oriented with robust multi-tasking skills. Preferred Qualifications: Experience in a law firm setting handling complex transactions. Strong track record of thriving under pressure and significant expertise in negotiation. Advanced certifications or continuing legal education in corporate law. Leadership experience with capability to manage and inspire a team. Experience dealing with cross-state relocation and associated legal dynamics. Skills: Leadership and management abilities. Highly effective communication and interpersonal skills.
