Corporate General Counsel

POSITION SUMMARY:
The Corporate General Counsel will manage and coordinate all legal and compliance matters affecting the company. The General Counsel will be responsible for providing legal and strategic advice to the company on a variety of corporate and transactional matters including contracts, commercial disputes/litigation, federal and state regulatory requirements, etc. The General Counsel will be expected to personally handle as much of the company’s legal work as is practical and closely oversee outside counsel on matters that require additional expertise. The General Counsel will provide legal counsel and support to senior management and colleagues throughout the company and its affiliates and subsidiaries. The General Counsel will report to the Executive Vice President. JOB FUNCTIONS: Provide advice and counsel to develop creative solutions for issues raised by the company’s executive staff and other employees on legal, business and compliance matters. Draft legal and other documents including contracts, policies, procedures, internal protocols, and litigation-related documents. Serve as liaison to and manage and direct all activities of outside counsel, including litigation. Draft, review, analyze, structure and negotiate a broad range of agreements including those involving customers, vendors, confidentiality, employment and other corporate agreements for domestic and international operations. JOB QUALIFICATIONS: A Juris Doctorate degree from an accredited law school. Member in good standing of the Georgia Bar Association with an active license. Minimum of 10 years of legal experience working as a lawyer in a commercial law firm, with substantive training in production liability matters, including a minimum of 5 years in-house experience. A preferable background will also include substantial time spent working in an industrial/agricultural manufacturing industry. Pragmatic judgment, particularly in determining the significance of legal matters and effectively measuring and balancing legal and business risks. Strong analytical and problem-solving skills with attention to detail. Effective organizational skills in order to prioritize and manage multiple time-sensitive projects simultaneously. Hands-on work ethic with willingness to assume heavy workload to meet timing and project needs. Ability to meet deadlines in a fast-paced business environment and follow-up on pending issues timely. High degree of personal integrity. Superior oral and written communication skills, including comfort and confidence interacting with executives and external stakeholders. Fluency in Korean a bonus.
